Elijah is now saying he was the "acting CTO." Tiffany says he was the "acting CTO" May 2016-Feb 2017. Does an acting CTO need an 8K filed?


Below is a copy she sent me. I'm on mobile app so I can't post a pic till later, if no one else does sooner.

After I received this email, Elijah posted:
"Tiffany will be removing this post shortly. It is inaccurate and she was mistaken." He was referencing a Facebook page that said the same as my email.

From Tiffany:


"Good morning,

We are aware of the statements made by Eric "Eijah" Anderson (via Twitter). Unfortunately, in the age of social media, public statements may not accurately reflect the terms and conditions of legal agreements, and may encourage observers to reach hasty conclusions. Mr. Anderson's Twitter does not reflect MGT Capital Investments business or serve as any form of material update.

We are the largest minority owner in Demonsaw, LLC. The company believes that ?the novel ?technology underlying ?Demonsaw's? architecture offers tremendous value and opportunity as an enterprise solution. Therefore, MGT will pursue all avenues to protect ?our investment? ?on behalf of the company and shareholders.

We are also aware of the allegation (also shared via Twitter) that Mr. Anderson was ?not compensated by MGT ?nor? served as the Chief Technology Officer. The company would like to reiterate that Mr. Anderson served as Acting CTO for MGT and its shareholders between May 2016 and February 2017. As an independent consultant, Mr. Anderson assumed all duties and responsibilities of the position and was duly compensated for ?this role in the amount of $17,000 per month until February. As for the share issuance from the Demonsaw deal close, all parties were satisfied with the terms and conditions stated in our March 9th press release.

We continue to work closely with Mr. Anderson as he develops Demonsaw intellectual property and we look forward to profiting from his team’s technical expertise.
