Assuming this isn't rhetorical, J.P. Carey/Corpfin.com were BSTI's "advisors", but their press release said that BSTI/TM negotiated the deal themselves - http://www.corpfin.com/news/bioshield.asp.

I guess there could well have been some other joker-broker type in there as well.

IMO, either (a) he was incompetent enough not to know about death spirals or (b) he knew exactly what was going on. Given his apparent background in fund-raising and the well-known nature of these types of deals, I'd say (a) is possible but unlikely.

(BTW, corpfin is listed now - OTCBB:CFNC. On a quick scan of their filings, they do not thrive.)
