They've already been caught and admitted to it.

It doesn't matter why they forced GB out ("oh he lied about the CIC plan that only takes effect AFTER we get paid out...so we had him fired"). All that matters is that they had a hand in it.

You can't participate in management/board decisions without being considered an insider. You can't be an insider and trade freely...
