The two problems I see are:

1. As far as I know there's no proof that any Board Meetings occurred. Do you have any?

2. We only have his word that he wasn't given proper Notice if any meetings actually did occur.

Shares were issued continuously during the 2+ months Mr. Berman was director. How were these shares authorized for issuance if as Mr. Berman claims, he was never notified of any Board action?
