Gregg E. Jaclin is a Partner and Chair of the Securities Law Practice Group, which is a part of the Business Department. For two decades Gregg has focused his practice on assisting clients in financings, mergers and acquisitions, and securities representation. His national and global experience reaches across numerous industries including biotech, high-tech, clean-tech and core manufacturing. Gregg has in depth experience with a multitude of capital raising transactions and has represented issuers, investors, investment banks, and others in corporate securities and financial transactions.
His practice is concentrated on securities and corporate law, and includes representation of issuers and shareholders (and other equity holders) crafting agreements amongst various stakeholders, venture capital transactions, private placements and public offerings of equity and debt securities, as well as secured and unsecured loan transactions. Gregg has worked with clients on reverse mergers involving both US and foreign entities, PIPE and other financing transactions, SEC and Sarbanes-Oxley compliance, private placements and blue sky filings.
Gregg has successfully represented parties involved in more than one hundred corporate and finance transactions helping corporations, placement agents, and investors with a variety of deals ranging from $500,000 to $25 million. He has represented various domestic and international corporations, including those in Asia, in alternative public offerings, and he has also represented many hedge funds and venture capital funds. Gregg has represented publicly traded companies, as well as placement agents involved in public equity and debt transactions. Additionally, he has represented numerous companies in the process of self-filings before the SEC and issuers involved with listing applications before the NASDAQ and AMEX.
