Item 7.01 Regulation FD Disclosure.
On March 17, 2016, SunEdison, Inc. (the "Company") and certain of its first and second lien lenders entered into confidentiality agreements under which certain information regarding the Company was provided in connection with proposed debtor-in-possession financing transactions. Under certain of such agreements, the Company has agreed to publicly file the information attached as Exhibit 99.1 hereto and incorporated by reference herein. The negotiations with respect to such potential financing transactions (including intercreditor issues and other material terms thereof) are still ongoing, and there can be no assurance that any agreement will be reached with respect thereto.
A debtor in possession (DIP) is an individual or corporation that has filed for Chapter 11 bankruptcy protection and remains in control of property that a creditor has a lien against, or retains the power to operate a business.
