STIPULATION OF DISMISSAL

Plaintiff StrikeForce Technologies, Inc. (“StrikeForce”) and defendant Microsoft Corporation (“Microsoft”) have reached an amicable settlement of the disputes raised in this action and therefore move the Court to dismiss this case in accordance with parties’ stipulation, as follows:

NOW, THEREFORE, IT IS HEREBY STIPULATED, by and among Plaintiff StrikeForce Technologies, Inc. and Defendant Microsoft Corporation that:

1. all of StrikeForce’s claims in connection with this suit against Microsoft are dismissed with prejudice;

2. any of Microsoft’s defenses in connection with this suit against StrikeForce are dismissed without prejudice; and

3. StrikeForce and Microsoft shall each bear its own costs, expenses and attorneys’ fees. Wherefore, the parties respectfully request that the Court enter the proposed order of dismissal submitted herewith.
