The actor Tim Matheson, who appeared in the hit film ''Animal House'' in the late 1970's, has gained control of National Lampoon Inc., which produced the picture.
Mr. Matheson and his business partner, Daniel Grodnik, said yesterday that they had bought the stake in National Lampoon held by its founder and chairman, Matty Simmons, paying $6 a share, or more than $761,400. In February, they had offered $5.75 a share for his stake of almost 130,000 shares, or about 10 percent of the total outstanding.
Mr. Simmons resigned from the company, which publishes the magazine National Lampoon and has produced films like ''National Lampoon's Vacation.'' Mr. Matheson and Mr. Grodnik will serve as co-chairmen, National Lampoon said in a statement.
Mr. Simmons, who was forming his own production company, will still produce an unspecified number of films for National Lampoon during the next four years, the company said.
In December, Mr. Matheson and Mr. Grodnik, an independent film producer, said they might seek control of National Lampoon. In January, they were named to the company's board.
Mr. Matheson has appeared in a number of films and television programs but is best known for his role as Otter, the handsome, fast-talking womanizer in ''Animal House,'' the raunchy 1978 comedy about a fraternity house at a Midwestern college.
Mr. Grodnik said in a telephone interview that it was coincidental that he and Mr. Matheson, who together produced the film ''Blind Fury,'' ended up pursuing the company that created ''Animal House.'' Advice From Pickens
