Who said anything about proving fraud? PTQ and the shareholders of the Company own the gold concessions and the mine. Fifer's an employee of the Company. Just like a lot of other people. Many shareholders don't think he doing a very good job and want him out.
If the majority want him out then maybe he goes.

It's about that cut and dried IMO.

Explain to the board how the whole thing stops working if you take him out. It actually may work a lot better with him gone IMO.
