SLIMCHIP Sale? One way to investigate the idea of a total IDCC M or A here is this...Who would BUY IDCC in total and how does the SlimChip business relate? If the Slim Chip business is a redundant business to a potential IDCC suitor, do u sell it before hand to get the cash?
* How does the current QCOM portfolio compete with SlimChip?
* Who else would buy IDCC and what do they have that would compete with SlimChip?
My3sons87...the 8 k has (3) provisions with (2) of them (B & C)focused on "termination" and the one you pointed out (A)...so, if it was just a matter of tax clarity, why the other two? Those get triggered on a very clear event of having those named Execs ending employment.
I'm not really questioning your input (as I'd LOVE that to happnen -- I'm LONG on IDCC) but maybe you can related A to B&C and tie those in with the "why now?" question.
I ask you since I know you are extremely knowledgable on all IDCC...thanks.
8k...seems like they are getting thier "ducks in a row" by making a more precise clarification of what is to occur in the event of termination.
So, the question is...why now? One + way to look at it? They are preparing to be sold and termination would simply mean those officers would not be held on going forward. However, another way to look at it is they are actually fired and the Board's compensation committee knows something and needed to make these clarifications...

Revils...great stuff. IDCC maybe setting itself up to be acquired as well...we all need to consider the statement they made about SlimChip to include selling it all together...If a suiter does not need/desire that product and IP, selling it off in advanbce of a M or A would make sense, no?
Seems to me our friends in Sandiego would be most likley to take IDCC into the fold...It would be interesting to see if Slimchip would be welcome there or not? Anyone?

The question for the leadership of IDCC is, given how poorly the stock price has been over the past (consistently underperofmring relative to the NASDAQ composite --pg. 36 2007 Annual Report), what other options do they have before the shareholders (of which they thmeselves are not too invested!)rise up and demand a change? It is M&A time for stocks...
I expect something significant to happen in 2008...gut feel? Yes...

Interdigital, Inc. (IDCC) is down 14.3% to $22.34 after the company said it expects third-quarter revenue to be abetween $54.0 to $57.0 million, below the average analyst estiamte of $59.95 million, according to Thomson Financial.
The company said the range does not include any potential impact from new agreements that may be signed during third quarter 2008 or the impact of any additional royalties identified in audits regularly conducted by the company.
"Third quarter 2008 reflects solid 3G sales by our patent licensees," commented Scott McQuilkin, InterDigital's Chief Financial Officer. "In addition, we are pleased at the traction seen by one of our technology solutions customers for its IC offerings. For third quarter 2008, we are providing a somewhat broader range of guidance than usual to accommodate the uncertainty about the timing of receipt of royalty reports for modem IP related sales."

Dow dwn, we're dwn as the Q was nothing to get too excited about...
ALL trades over 1000 shares have been at $25 so far...majority of trades at 100 shares.
LONGS understand the upside and value - recall a report of late with IDCC at $75.00...When the 3G issues get resolved, then 4G as well as having them move more into products & they start to gel and take off (recall the Annual meeting and the optimism) I see this stock outperforming the market by spades...which it has NOT done for years (refer to page 36 of the 2007 Annual Report).
The great news is that the SHORTS need to cover and given the small float here, this stock could seriously take off with continued good/great news. The ALJ is more than likely unhappy with how NOK has messed with His court…WM tells us he HAS on the table from NOK that was rejected (but would have been accepted in the past!)
Look for NOK to close before SEPT (IMO) and SAM will have no choice…

On September 6, 2007, InterDigital, Inc. companies InterDigital Technology
Corporation, Tantivy Communications, Inc., and IPR Licensing, Inc.
(collectively, InterDigital) signed a worldwide, non-transferable,
non-exclusive, fixed-fee royalty-bearing patent license agreement with Apple
Inc. (Apple). Under the seven-year license agreement, effective June 29, 2007,
InterDigital granted a license to Apple under InterDigital's patent portfolio
covering the current iPhone(TM) and certain future mobile phones, if any.
The Company will issue updated financial guidance for third quarter 2007 in the
near future.

SEC Rules on HALTING...Does anyone know what the rules rae for halting the stock of a publically traded company and NOT notifying the public?
NOK will be VERY motivated to get a 3G deal if after June the ICC awards a big royalty rate to IDCC...No?

NOK & IDCC negotiating.
Are they talking again? RECALL the NOK deposition by Ilkka Rahanasto, VP of IPR on APRIL 28th, 2005 stating that they feel IDCC has been unreasonable and hence settling the ARB dispute, let along working on 3G is not happening...
"Interdigital's unwillingness to compromise and its continued unreasonable license fee demands have made the negotiations between the parties on extending 3G license unsuccessful. There are no current license negotiations and there are no plans to conduct further negotiations."
This would be the main reason for an ICC "delay" to wit they ALSO tell the parties that they will accept their request to delay (needed to come from both parties or it would not have happened if only one party requested it) BUT for not long...in fact, we estimate that you'll know the award by end of June...even if the deadline we set is end of AUG.
Imagine negotiating when you know a major and BINDING decision will hit in a matter of weeks! So, if you wait until post award notice, CLEARLY one party will gain a major leg up in the negotiations...SO...
One can assume that IF there is to be a settlement, it will happen BEFORE the ICC gives the 2 parties the Award notice...Hence the reason why the ICC did it that way...
Finally, IF both parties do wait and the award notice goes out in late June/early July, it seems to me the "winner" will not negotiate with the loser UNLESS IDCC wins and NOK comes back with a 3G "win" to make the settlement more palatable...to thier SHAREHOLDERS!
FOOD FOR THOUGHT
We are DOWN based on shorts running for the hill (in the short term)...you'll see the stock bounce back as we get closer to the next set of deadlines...more UPSIDE for IDCC hence the largers downside today.
A delay could be ICC based (technical or business, which if technical, could spell problems for us) OR it could be at the mutual request of the parties...in which case a negotiated settlement is in the cards.
A settlement could actually be better for the LONGs as 3G should be included and the long term future of IDCC more secure as a result.
optionchain - sorry it took so long to reply...I agree with your point re; there is "always room for negotiations"...in this case, both parties would be foolish to negotiation in good faith and NOT instruct the Arb Panel to DELAY...Hence, IF they instructed the panel to DELAY, then the 8k would have read differently...Your thoughts?
Rmarchma - sorry it took so long to reply...thanks for the details. It seems the key reason the stock is nervous then is the fact that the ICC could in fact rule that there is no trigger...if there is NO DEBATE there, the stock st this price makes zero sense.

No Settlement - No Negotiations. Afters yesterday's ASM and the feedback from the Execs, (HC, WM, JP etc...) there is clearly NO negotiations with Nokia and the Company is awaiting the ICC decision.
The 8k told us so...IF there was active negotiations with NOK, the two parties would have requested a delay and there would be no need for the 8k as it was written yesterday...Use the Samsung annaouncement as a sample of this thinking...Hence, buckle up, it will come down to the ICC to tells us our answer...Either Nokia will prevail: NO TRIGGER from Sony/Ericsson or IDCC will prevail: YES, Trigger...IF "yes", will the ICC set a RR? That is key...we MAY end up with a "Yes, Trigger" but no RR (although it seems unlikley to me that that would happen)
