We were in "waiting for financials" jail and then ended up in the "no news" block of that jail (that's where bad things happen to those who stay). Now we have been trasnfered back to the "waiting for financials" wing again.
We're still in jail so not much buying activity. But at least now we know the process to securing our release. Registration of shares, distribution of shares, prep and publishing of financials.

The company has cash problems (like any emerging company). They say they need about 10 million for a year but have little to no cash. Last October they expected sales of 8 million over the next 12 months. We're almost at that 12 month mark and they sales have not materialized.
Expect some major efforts to raise money in the near future if they truely do get to ramp up sales. They have a chance but having never turned a profit, they still have lots to prove.
The convertible debt they have and the 8 million in warrants are also significant issues to look at.

Maybe no one comments because your "synposis" is so patently wrong. Just take the issue of shares outstanding. You say there will be over 15 million. We know from the PR that that is patently untrue.
"Global-E will have 1,550,000 shares outstanding at closing; all other existing shares will be canceled of Global-E and will issue 8,157,661 new shares of its common stock to acquire all of the assets of NowAuto, Inc. The 8,157,661 shares will be distributed, after registration, to the NowAuto, Inc. shareholders."
It looks pretty clear to me that they are saying there is 1.55 million shares outstanding abd then they issue 8.16 million additional shares to the existing shareholders (1 share for each three shares held).
From my count that puts the shares at 9.71 million shares outstanding when the dust settles. I have no idea if there are also warrants going to be out there as well but 9.71 is a long way from your 15 million shares.

They need to come out with some announcement today. And not just for the sake of adding another one to the pile.
Scott laid out an agenda for March (how brave was that) of items he said were going to happen. The expectations have been set.
If he can't deliver the purchase this month, he needs to say so, and give some reassurance that it will come through. Silense would be the worse thing he could do now that he has established expectations of constant communication with the shareholders through the use of NRs.
We all know how tough it is in business to meet your goals where you are dependent on someone else's behavoir that is not within your control. With all that Scot has deleivered I am sure the market would no be too harse on the share price if the close does not happen this month.
Bottomline though he has to say something today.

Will China / India make a difference?
Once you let capitalism out of the bottle, there's no putting it back.
Just remember it will be the new cars and houses sold to the new middle class in these coutnries that will drive the demand and prices for these base metals.
India I can see taking this new economy and running with it. China is a harder question to answer since it communist. But judging by some of the reports of workers there demanding higher salaries, I would think it may tough even for them to hold back the increasing demand.

What kind of analyst issues a price target 25% less than current market price on a stock highly leveraged by the price of zinc?
People like to play the volatility of Breakwater but I didn't realize it was this blatant.

Yes, they were not able to recoognize the shipped concentrate as revevenue because it was not priced. According to their own rules it has to be treated as inventory. As long as it is priced it now there should be an extra 23 million revenue for this quarter ending March 31. If they typically generate 60 million per quarter that almost an extra 40% in revenue for this coming quarter. With the continuing increases in the price of zinc, that should make for an excellnet quarter.

Good recap of the situation. I think as long as the price of zinc continues up (or even holds steady) shareholders will do well. But the question is, is there another zinc producer with which they could do better?
What did you think of the carry over (22 million)? At first I thought this was the reason they had lost money in the fourth qtr (delayed recognition of revenues and earnings) but on second thought this may not be the case. Did they not have a carry over from last quarter as well? This could be the ore that they need to sit on until they can mix it into the right blend to make it more profitable (part of the mine plan to make Myrna Falls profitable).

There was Sept 22 news release that estimated the drop in production from 2004 to 2005 to be 10% drop due to the closure of the two mines. This will barely make a dent in the increased profits from the increased price of zinc. That is probably why they purchased Myrna Falls mine.

Can anybody provide a good reason why insiders who own about 30% of the company would be selling their shares (at about 10% of their individual holdings at a time) to insitutional holders when the company is expecting revenue / profit increases of 60 per year for the next 3-4 years?
The revenues are expected to flow from the enforcement of a patent (which they already have signings for). They have other revenue but the license revenue from this patent makes up about 50% of their current revenues.
I am trying to thnk of a valid business reason why they would do this. My immediate reaction is that they do not have confidence in their ability to enforce their patent.

They said in the interview last year that they wanted to be at 10 dealerships by the end of 2006 (from the two they had at the time). That means at least four this year and four next year. They already have two this year so I would think if they can get the capital they wil even push for more dealeships. I hope they can control their growth and make sure the profits hit the bottom line. That is where the pay off is for us.
Remember when they broke down the profit, it was something like 70% from selling cars, 20% from financing and 10% from Navcom. Selling cars is where the money is.

If you have been burned before then I could undestand why you feel the way you do. I haven't had that exerience so maybe I am a little more forgiving (too naive?).
Bottomline is though that they are forecasting more profit per share and a quicker path to the AMEX. Downside is having to wait longer for the financials. Still not going to invest any more until I see them.

Maybe the equity financing was dependent on the purchase going through. At the time he said the share count was 10,000,000 the deal had not been finalized.
I don't have any problem with how this turned out. When your making announcements like this, it's tough to schedule everything so everyone is happy. I'm sure he was pissed that the jump to 16,000,000 shares came out before it was supposed to.
The end results is raised guidance for earnings per share and the chance of moving to the AMEX sooner. Nothing wrong with that.

I am also mystified as to how they are going to pay for this. Are there any public records on how much capital Capital Autos (or whatever they were called before the name change to NowAuto) had on the books?
If they were issuing warrants, would this not change the number of issued shares? or does that only happen when the warrants are actually exercised. I guess I am thinking of diluted shares. So the statements by the CEO that the issued is still 10 million does not preclude them issuing warrants.
My bet is convertible debt. That would give them the best risk reward. Secure the debt with the asssets of the new dealership and make the terms of the convertible real attractive at these current prices.
Interesting development though. Delay the much wanted / much needed financials but sweeten the pot of potential. Looks like the nervous investors (are they the smart ones also?) are leaving. I guess only time will tell whether this is gem in the rough or a scam.

I gotta agree with stock peeker, at least a good portion of this must be momo players. If the float is just over 5 million and there is 1.7 million trading, these guys are just trading back and forth between each other. Perhaps someone is just generating volume to keep the frenzy going so that they can off load some shares at a good price.
