Yes as you will see that $600k plus law suit you've been tooting about. Has been settled for HALF of the amount at $300k for 150 million shares. Meaning they need a minimum of 0.002 pps to equal that settlement of $300k. Since the original amount owed was for $600k plus, they need the pps much higher re coop those loses!
With the settlement being much less than the amount owed from the liability, the investing institution must have full faith in the reverse merger with UMS Mobile Solutions.
This is going to be HUGE!!

On March 16, 2016, the Company entered into a settlement agreement with the Dutchess Opportunity II Fund, LLC whereby the fund received a warrant to purchase 150,000,000 shares to common stock at $0.0001 per share in exchange for forgiving all principal, interest and fees of the $300,000 note. The Company valued the settlement and accrued $255,000 as of August 31, 2015 against the note payable for a total liability of $615,385.

Theres some speculation on this board that the overall net profit will be flat here on TALK. My thoughts? For TALK this will be a great thing to see! Flat profit, yet growing revenue for companies such as TALK while growing and expanding are be a really good thing!! Just look at AMZN and Target. So even if the profit is flat for the quarter it will show growing revenue and growing expenditures toward expansion and strengthening the overall bottom line. After all FORBES said UMS Mobile, now TALK is one of the countries fastest growing companies for a reason!! :)

Looks like they're in great shape to me. As long as the money is being spent in the proper areas for growth, were golden!
To emphasize on whether the 17 million per year TALK yields will be flat due to growth expenditures and expansion, is comical.
This is what we want to see as share holders. After all companies showing the largest growth "even if earnings are flat," are the ones that trade at the highest multiple in valuation. For so many years AMZN "yes the all eyes on me stock of Wall Street," was flat on earnings and in most cases reported huge losses quarter after quarter, yoy, however they still grew in pps. Why? Because they were doing just that, "Growing."
What's the price per share of AMZN today? Over 700? Nice, I think Ive proved my point! ;)

The SEC halts the stock and all trading actively associated with it, from there the SEC looks at the accounts world wide with holdings and counts up the shares out compared to the shares actually issued. If the number is off, IE: "If the ss count is higher," than its supposed to be then they search for the naked shorts and the brokerage firms who facilitated them. Why do you think no one wants the stock halted? They would be caught red handed and jailed..
Answer to question on how naked shorts are detected or how they would be detected here with TALK.
That's his ownership in UMS, to sell those shares would be to give up his ownership of the company. Just like with Facebook, Twitter and Microsoft. Since they went public I doubt he wants to sell his company, otherwise he would of done so with T-Mobile... Wink.. Wink.. ;)

Nope it actually doesn't.. Even if it did we factor growth potential and revenue.. SO the market cap per share would be the same.. SO in turn we have the same valuation per share RS or not.. No problem either way.. But then again I highly doubt it because most companies on the NASDAQ, NYSE, and OTC have over a multi billion share structure.
Companies raise money when they go public, no problem. How much did Facebook and Microsoft raise again? How many shares did they issue per their raise? Exactly.. ;)

Thats strange, its one of their duties for their publicly traded clients. In fact if you do a search on ihub you'll see other posters discussing getting the share structure from Vstock transfer who is also TALK's transfer agent. I'll give them a call when they are open again on Tuesday, I know a couple of people over there.
I also bet that was the block of shares used to give to UMS Mobile Solutions as part of the 85% controlling stake in the company. That actually makes perfect sense..... That's great news that he was able to shed some light on this!!

Exactly when you're dealing with over $18 million in revenue and thousands of paying customers the audits do not happen overnight. Too many working parts... From my experience Ive watched financial statements with this man working parts take 6 months to complete.

Inc Magazine and several other reputable companies including T-Mobile disagree with you on that one and so does the IRS. ;) UMS Solutions, all the slander in the world doesn't change that UMS Mobile Solutions is 100% legitimate and bringing in MILLION and MILLIONs in revenue per annum.

Hence UMS Mobile Solutions goes public via a reverse take over transaction, just as has occurred here. Making all of UMS Mobile Solutions operations, revenue streams and growth factors the only focus here. our with the old and in with the new.
