Wasn't the TA's fault. If Urbie had wanted them to withhold information, he should have told them that. Evidently he didn't.
Do you think the TA putting out what was obviously unauthorized or maybe untrue information makes them look foolish, and was reason for Urban to terminate them?

Judgments have been awarded in several of the cases. None of the cases has anything to do with CMKX; one old one involves Petro Plus, in the others Urbie and Carolyn (and sometimes others) are individual defendants.

We had a loose lipped Transfer Agent that was cut loose today. Why? My
guess is for disseminating unauthorized information to unconfirmed
shareholders in a way that was misleading! If that is the case then
they are liable!
They're liable for nothing. It's routine for TAs to tell people what the o/s is. "Normal" companies don't try to conceal it. And what's "misleading"? The o/s is the o/s. This should not be a complicated issue.
TAs aren't directly involved with buying and selling, so there'll be no immediate effect. BUT you need a TA (or need to be self-transfer) if you want to issue any stock.
IF we no longer have a TA how are buys and sells still going through?
Here's the deal on self-transfer: you can issue up to 500 certificates, but after that you have to apply to the SEC to become formally self-transfer. I no longer remember what that entails; maybe I'll look it up later.

That is not a Good Thing. It means there'll be NO watchdog. Urbie will be able to tell you whatever he likes about the number of shares he's issuing, and you'll have no way to confirm it.
Cusip # is changed, and FYI who's to say that CMKM Diamonds will exist anymore...

I doubt that, really. Global's been in business for awhile; all they had to do was turn over their records to Pacific. Keeping track of stock issued isn't all that complicated. Unless Urbie wasn't giving them the right information.
The most likely scenario is that Pacific received a box full of material they could not make heads or tails of and Urbie's high priced lawyer would not give an opinion that satisfied them.

First, why would the TA quit, wouldn't they get paid for their services whether or not the number of O/S and float is too high. Perhaps they were paid in shares? Either way, it's still revenue coming in for the company right?
Pacific Transfer is one of the larger TAs in the West. They've had a lot of experience, and I imagine they recognize trouble when they see it. They handle a lot of penny stock companies, so no, I don't think they'd take shares in payment.
Second, Why might it be hard for Urbie to find another TA - kind of along the same lines as my last question. There's nothing wrong with a little revenue.

No, there's nothing wrong with adding to one's client list. But TAs don't get paid more for answering the phone. They don't mind telling people what a company's o/s is, normally; in fact it's part of their job. But they do NOT expect hundreds of calls a day. Add to that management yelling at you because you revealed the Secret Number, which you didn't realize was Secret, and well....some jobs just ain't worth it.
That thought had occurred to me.
Maybe Urbie will take the t/a job inhouse like a few of the big caps do...
That was Mikey Sylver's "solution". From that moment on, of course, no one had any idea how much stock he was issuing. By the time the SEC got its hand on his books they couldn't make heads nor tails of them.

I think it is part of the master plan though. Pacific's number was plastered all over the last PR. Why do that unless you feel that someone will call it.
Now Urbie's gonna have to find another one. Two down. Others may be hesitant to take the job. As I said earlier, I saw something similar with AZNT, though the turnover rate wasn't as quick.
For those who may not know this: it's perfectly normal for a TA to give out information about shares outstanding. It is, in fact, part of their job. They'd only NOT release the number if they were specifically told not to do so by the company.

Shares held in street name are certificated, but they're held by Cede, an arm of DTCC.
