Plan for Future Operations
In 2005, we contracted with engineers to begin our hydrogen fuel cell division. Through 2006, our subsidiary Hydra Fuel Cell, Inc. (“Hydra”) continued the development and testing of its HydraStax® hydrogen electric generators. Seven patent applications have been filed covering some of the innovations incorporated in the HydraStax® and we intend to file additional patent applications.
Our Hydra Fuel Cell subsidiary completed the initial development stage of the HydraStax® unit and testing for certification is currently underway. We believe that the HydraStax® unit's cost per kilowatt hour will be significantly below that of our competitors, giving us a competitive edge. Thus, upon certification we intend to aggressively market these units. We are actively pursuing financing to begin manufacturing and distribution.
We formed two new subsidiaries in 2007 to pursue the development of clean energy sources. We formed American Wind Power Corporation that is negotiating the acquisition of manufacturing and intellectual property for residential wind turbines that spin in a horizontal plane. Additionally, we formed American Hydrogen Corporation to develop and commercialize a technology to formulate hydrogen that we hope will change the economics of producing hydrogen sufficiently to enable the hydrogen economy.
All three of the Company’s subsidiaries had significant events during the past year.
Our Hydra Fuel Cell subsidiary completed the initial development stage of the HydraStax® unit and testing for certification is currently underway. We believe that the HydraStax® unit's cost per kWh will be significantly below that of its competitors, giving them a competitive edge as a replacement for residential grid power. Thus, upon certification, Hydra intends to aggressively market these units and the Company is actively pursuing financing to begin manufacturing and distribution. Hydra installed two of its HydraStax® fuel cells in residences, one in Texas in October 2007 and one in Florida in December 2007, as “Beta Test demonstration units”. These are milestones for Hydra and for the fuel cell industry. Hydra continues to vigorously defend itself from claims of patent infringement brought by a third party in 2006. Hydra’s fuel cell is original and Hydra categorically denies that it infringes on any patents.
American Wind Power Corporation, which has had no operations to-date, is in the process of acquiring two companies with vertical axis wind turbine technologies. The Company has engaged NW Financial of Jersey City, NJ to arrange the financing for these acquisitions.
American Hydrogen Corporation (AHC) was formed to develop and commercialize a technology to formulate hydrogen that we believe will change the economics of producing hydrogen sufficiently to enable the hydrogen economy. In August 0f 2007, American Hydrogen Corporation was granted a worldwide exclusive license for patent pending ammonia-to-hydrogen catalytic electrolyzer technology (ACE) by Ohio University that will be the basis of operations for AHC. The first ACE units will be matched to the fuel cells made by Hydra. AHC has entered into a Sponsored Research Agreement with Ohio University to develop large commercial electrolyzer technology and to develop an ammonia-to-hydrogen fueling system for vehicles.
The Company continues to review acquisition opportunities that would enhance its fuel cell offerings, expand its offerings in alternative energy production or represent opportunities in homeland security or national defense.
We have had no revenue since beginning our Hydra subsidiary. Although we expect revenues from our HydraStax™ unit during 2008, we do not expect cash flows from distribution of the unit to be self-funding during 2008. We estimate that our Hydra Fuel Cell subsidiary will require approximately $2 million to produce and sell HydraStax® units to cash flow self-sufficiency. There is no guarantee that management will be successful in obtaining these funds.

October 22, 2008 -- Boston Scientific announced today that the U.S. Food and Drug Administration has lifted part of the warning letter that the company has been laboring under for almost three years.
On January 25, 2006, just hours after the massive acquistion agreement between Boston Scientific, Guidant and Abbott was signed, the FDA faxed a stern company-wide admonition that, among a number of other cautions, took Boston Scientific to task for late or non-reporting of 145 adverse incidents involving a range of devices. The FDA was upset because previous warnings had gone unresolved and the letter stated that future Class III approvals would be on hold until the issues were dealt with.
Indeed the company has received no major device approvals in the past 32 months, until two weeks ago, when the FDA approved Boston's Taxus® Liberte® drug-eluting stent, an application that had been pending since the warning letter was issued. The Liberte, a stent similar to the company's flagship Taxus® Express®, but with thinner struts, rendering it more "deliverable", has been sold in Europe since 2005.
Analysts do not predict that the Liberte will make a significant difference in Boston Scientific's U.S. market share, mainly because the three-year-old technology has already been out-distanced by the newer Endeavor and XIENCE stents from competitors Medtronic and Abbott. Abbott, in fact, has Boston Scientific in its sights -- Abbott's newest ad campaign aimed at interventional cardiologists, was launched this week, and says of the Liberte: "New Name, Same Story".
However, the lifting of these warning letter restrictions is certainly a long-awaited positive step for the company's future and its relationship with the FDA. Boston Scientific manufactures a number of devices that allow minimally invasive treatment for many parts of the body, from carotid stents to coils that can treat strokes and aneuryms. Besides its significant heart rhythm division (pacemakers and ICDs) acquired from Guidant, the company also markets the XIENCE drug-eluting coronary stent under its own brand-name PROMUS™, as part of a profit-sharing agreement with Abbott.

If I was holding convertibles with these terms, I would be selling large blocks too. At a 45% discount to the lowest daily trading price. Under those terms the best share price I could imagine would be .0001. Then I could convert all day every day using shares I aquired at .000055 for a nice 80%+ gain, so long as I had willing buyers. The company really needs to address the CD's or that's exactly where the PPS is headed. IMO of course

I believe that to be an incorrect statement. The SPA matures in 2009 but subject to certain restrictions and terms, principal and accrued intrest is convertible at any time after the registration of the underlying shares. The registration occurred in 2006. It is clear from the last financials (2007) that conversion has taken place.
Just wondering why there is no discussion on this board about the terms of the convertible debt instruments held by NIR? Seems to me that these debts are having a serious detrimental impact on share price. Perhaps someone that is in contact with Management could ask if there are any plans to retire or restructure this debt. I've been watching for quite some time, but need some answers before I will consider making an investment here.

OK. OK. Mobile barcodes are hot property. Everyone is talking about them even the girls at Mindshare are getting all hot over them. Yikes even mobile barcode guru Scott Seaborn (yikes did I spell that right) has joined OgilvyOne - so mobile agencies are giddy over codes.
Google has added barcodes to its mobile ad services – Ralph Lauren is the guru king of codes already and start-ups in the mobile barcode industry and popping up all over the shop.
So – why do you need a mobile barcode strategy?
1. More and more devices (in fact nearly all new ones) come with a mobile barcode reader. If they don’t there is ample opportunity out there for users to simply download a reader.
2. Big brands such as Pepsi are embracing mobile barcodes. 400 million (YES 400 MILLION) Pepsi cans will have QR codes on them in the UK (see here: http://foodbev.com/ArticleDetail.aspx?contentId=1738). This means that education or additional cost on education in the mobile space will not be necessary. Brands are doing the hard work and piggybacking on the success with a QR campaign will be a breeze.
3. Barcodes can be sent or received in a number of ways and are a quick fun way of getting to where you want to go or be – FAST. This means that any spend on Mobile Advertising and Paid Search could be re-routed to a mobile barcode campaign for instant access to mobile sites.
4. Curiosity killed the cat and I mistakenly took a picture of a mobile barcode recently and got access to a disgusting mobile site. But when I see a barcode I have to take a picture of it or scan it – its human nature. Imagine a world of barcodes everywhere – think of the data revenue stream if everyone wanted to know who everyone else was…. (yikes even more business models coming in to my head).
5. Barcodes, in particular 1D codes are everywhere. Scanning codes to get information on the product or to purchase instantly is going to be any retail markets wet dream. All early adopters will benefit from curiosity, early adopters and geeks milking. Offer something for free get some personal data – create a profile – send, IM, message, pimp mobile barcodes for your new champion.

Well, we finally paid iOne for our first shipment of Lapboards today. Phantom Entertainment has contracted a warehouse in the center of the USA to store and ship Lapboard orders coming in from our website. Once we have a delivery time frame from China we will post it here. Thanks so much for all your support and now we need some help, please help get the word out on any boards which you may participate that Lapboard will be available shortly.
A big thanks goes out to Tim Roberts, who has gone to great lengths to help Phantom Entertainment secure the inventory funding. Also, thanks to Jim Dimeo, Terry Taylor and Dick Angoltti for their selfless contribution, shareholders: there would be no PHEI without all their compensation less efforts . While we still have a LONG way to go this the first and most important step to bring the Lapboard to consumers and repairing the financial health of the company.
We have set a goal to have the game store open before the end of the year, this seems attainable as we have already done quite a bit of work toward its completion.

OK Spot, perhaps we can get it right together. I'll provide the OS number from the latest 10Q and you can do the math (make sure to show your work). Now, what would the maximum potential dilution percentage come to if the company were to max out the proposed AS?

Sunspotter, you do realize that AS does not equal OS right? You seem to imply that "full dilution to 800mm shares" is a forgone conclusion. Although it would be possible for that to happen with an increase in AS, any prudent investor would surely watch the OS closely to determine if appropriate value is being delivered for additional shares in the float. I personally don't mind giving the company room to breathe and develop their product, so long as they stay away from toxic convertible debt instruments, and are attentive to their fiduciary duties regarding shareholder value.
I suspect more posters here than you know can distinguish between overly positive and overly negative posts and make their own decisions.

A new request for continued examination has been filed for this patent application. Original claims 1-113 have been withdrawn and new claims 114-123 have been submitted. The original claims had been rejected in a previous office action dated 4/29/08. Now that the utility patent has been allowed the divisional patents should be able to progress. At least that's my opinion.
Interesting application for the CSS device nonetheless, and was new to me.
