strongly suggest that anyone who has restricted shares for JPHC to contact the transfer agent and verify that the transfer agent has your shares. I would also make sure they have the correct amount. I called yesterday to verify my position and to my surprise he told me my shares were not even listed with the Scottrade record position.
I thought all my shares were sent months ago and im pretty disgusted to learn after all this time my shares were not included for some reason

I see a lot of posters asking Questions that they can get themselves. I did exactly what I posted below. I also followed up with the Brokerage Firm I use in requestiong New Information. I am waiting on that.
Again i will not post on the message boards what I found out.
I did do a SEC Complaint against my Brokerage firm and I am pissed that we are being lied to and deceived by these firms.
IMO Do not think for one minute that the brokerage firms are working in your be half. At first I thought they were.

Do not listen to the excuse that you may here from your Compliance Examiner saying to you (you can see everything we sent to the T/A by looking at your account it is all there.)
You want to see and have physical possession of all the Documents sent about your account to the T/A.

You may have to request this information in writeing which is what I had to do. I hand deliverd a letter to the branch manager at my local branch office and I got a copy of the letter for my records.
After this I sent an E-Mail to the Brokerage Firm I use stating exactly what I just did and reiterated the information I wanted mailed to me.
I mentioned names of all the parties I talked to.
By doing an E-Mail to your Brokerage Firm it insures that they receive your requests. You protect yourself so the Brokerage Firm can not come back on you and state they never received any such request from you.
Next call the T/A and speak to Mr Donelly. Ask Mr Donelly if he could send you a Fax about the information he has requested from the Brokerage Firm that you are using.
I did just that and Mr Donelly sent me a Fax on what he requested from my Brokerage Firm I use which is Scottrade.. Mr Donelly verified that I was a clinent of that Brokerage Firm before he sent me the Fax.
I will not post the contents of the Fax on this message board. It is up to you to call the T/A and get a copy for yourself.

I called ameritrade to try and find out what is going on. They basically told me that the TA has all necessary information to process shares. They also told me that they have had problems with is TA before. I have a tendency to believe Ameritrade over Jack Donnelly. Just my gut. I just now filed an online complaint with the SEC against Mr. Donnelly and his outfit.

Selling of FSMH shares. You said you did your DD so do you have a link or article that this did occur with FSMH. I know all about PAIV. Do you have info on brokerages involved with FSMH on Illegal Shorting?

After doing some dd on FSMH, sounds like we may have a similar situation here to that of PAIV with the illegal selling of restricted shares. This occurred after the 15:1 foward split earlier this year. We might be seeing some huge fireworks for FSMH this week, because everybody and their mom will want a few million shares for the ride :)

Some have a short memory on what caused this situation, remember May 22, 2006 the Illegal Flood of Restricted PAIV Shares by the Brokerage Firms.
That is where you complaint should be.
The T/A IMO is working for us shareholders not the Brokerages.

Call your Broker Compliance Dept
Call the SEC, NASD, your Brokers Compliance Dept. Do a NASD and SEC Complaint against your Brokerage Compliance Dept for not cooperating with the T/A on requests made for information needed by the T/A so we can receive our Restricted PAVC formerly PAIV Shares.
If we do not put the Pressure on the above parties you will never get what is legally yours.

If they are done right, Macro is a case in point. I do not see nor did I remember reading the PAVC Company would use Toxic Fianceing. That is one reason PAVC moved to a higher exchange to avoid this type of financeing IMO. PAVC is looking to move to a the Amer of NASD as was mentioned in a former PR.
Now the COMPANY did a R/S of the A/S. If they change the share structure they have to do a fileing update correct?

Also, and this is just an opinion, but likely a very possible scenario......A much higher AS, that may grow very large.
Company has already stated they do not have the cash or conventional funding to sustain operations...that means only 1 thing....different forms of toxic financing...that much we do know as fact, as it is filed with the sec and they were very clear in what they said.....The fact is, the company has no choice but to use it's shares as currency....and to enter into other forms of dilutive, non-shareholder friendly, means of financing...and who knows what deals they may have already or be in the process of cutting with whoever......
Just my opinion, but one that was made clear and pretty obvious in their filings.......I read alot of filings so hard to keep up...wish I could remember which company I was reading in last couple of days...it had the normal ugly 'we may not make it' long, rambling, cover my butt, disclaimer as they all do....but like many that read 'almost' the same.....ugly, but....a key difference.....we have enough cash and conventionial funding available to sustain operations thru 2010 and believe we will be CFP by 3rd qtr 2007. It further said no dilution/toxic financing would be needed to sustain operations......it was your typical 'iffy', pos micro, but they did file and yes, alot of it, including all the disclaimers littered in every paragraph were ugly reading....stock still went up a good amount..if I could only remember which one it was...the point being...shareholder friendly.....cash and conventional funding...PAVC already stated they did not have cash or conventional funding to sustain operations and would have to rely on bla bla bla......and we all know that is the same thing as saying we will be printing shares and diluting several different ways......
Honestly, I wanted to ask Big Dog, since he seems to be the biggest " this is a guaranteed winner" pumper who wont wager on his opinion he thinks is 100% certain.....That if he..or anybody.....really feels good about this company, why the heck are you buying shares of stock? Via the filing...they NEED MONEY.....why pay the ask when you can cut a private and far more guranteed deal for .05 or less on the dollar??? I do it all the time.......troubled companies doing toxic financing is a huge draw to investors looking for easy money, that play in that arena.......get yourself some colatorized CCD's or whatever you feel comfy with....but when a company says they need cash and will have no choice but to do toxic financing, it is an invitation to many....and when you play that side, guess what? You will be one of the 'big boys' that the retail people bitch about everyday<lol>, although you dont need alot of money to move over to the dark side<g>, just knowledge in private funding in the micro arena and of course you can always move up and do PP's and etc with the real big boys, but that does take some cash to do......Frankly, that is where the real money is made in equities not by buying long or selling short or daytrading/flipping and etc.....If some of you want, possibly contact PAVC and see what kind of private deal you can work out....no reason to buy this stock if you like the company, when you can do a private deal for pennies on the dollar and guaranteed....the old saying...big boys always win...when you enter the correct type of 'private deal', even if you are not throwing down huge dollars, you are a 'big boy who will win'.......on the big boards you need a decent amount of cash and the type of deals are far different then the micros...but micros....you can get very creative and most companies in this arena really need the cash and are willing to do private deals for a fairly small amount of $$'s....

I did a test out of curiosity......I bought 100 shares at $2.70
It was offered for sale at the bid immediately. Bid went up significantly, but still nobody 'bought' my 100 shares that were for sale well below the bid.
The last hour of trading, the bid went up even more.....and I lowered my sell price to $1.20, which was FAR below the bid.....The last 15 minutes of trading, I lowered it to $1even.
Market closed....pavc closed strong...yet my 100 shares did NOT sell at $1.00
What to make of this? if longs were buying in the $2's and high $3's or if shorts were covering in the $2's and high $3's, why would my measly 100 shares not sell at $1.20 or even $1.00........very odd, imo.......
Lastly, has anybody received their FREE TRADING shares yet?
Good luck to all......I am not staying in this...just did a test out of curiosity and it is odd to see level2 and the bid/ask where they are, but my 100 shares would not even sell at $1.
I will attempt to sell again tomorrow at the bid...if no takers, I will drop it at least 50% or more below the current bid and see if any takers.....if not, I will again drop it to $1 near end of day and see if they sell then......
I find it very odd that according to level2, longs are either buying or shorts are covering far higher, but no buyers for my measly 100 shares at $1, when the bid was above $3.50
If this is an 'orchestrated event' then it makes sense....if this is trading legitimately, it seems very odd imo.....I see alot of 100 share trades FAR higher then $1, but nobody wanted my 100 shares at $1.00 and instead were buying or covering in the high $3's with my 100 shares available at $1.00??

IMO the SEC is very aware of the PAVC situation. WHY? Because of people like us who file these SEC Complaints about our feelings on the Company PAVC and the brokerages dumping Illegal Restricted PAIV Shares on the open market. There are many Brokerages involved in this fiascal.
Everyone should file a SEC Complaint. It is your right and your investment.
Complaining on a message board does nothing but phone calls and SEC Complaints are constructive and IMO working.
Keep the pressure on my fellow PAVC Shareholders. We can not let up. These brokerages have gotten away with these types of scenarios for to long, lets end it.

Dear SEC officer, I am hereby complaining to you in a formal letter that there is something wrong with my Brokerage firm Scottrade,INC and PAIVIS corp regarding the issue of my JPHC/PAIV/PAVC shares. I got some few milion JPHC shares sometime back last year. JPHC merged with PAIVIS and became PAIV. There was a huge debacle by ameritrade selling restricted shares and hence, all of us shareholders got stuck in that fiasco. Even, before we got our certificates from PAIVIS (PAIV) , paivis did a reverse split of 200 to 1 and got a new symbol PAVC. None of our shares got delivered. I suggest that, a thorough investigation be carried on this whole fiasco and put the wrong people in jailhouses. Also, I would like to see some of the brokerage firms who were involved with fiasco to get their licences cancelled and be barred from trading again. A lack of clarity from SEC on these so called penny stocks, is causing a lot of us to lurk in dark and loose our money. Please wake up and do your part to help us.

i tried finding out along time ago with no luck.
I guess the concert was a bust otherwise we would have seen good news by now.
The Company should stay away from that form of concert IMO.

Stop complaining about needless bickering about nothing
For those who have not filed a SEC Complaint I would highly recommmend
you do so and call the SEC to follow up on your complaints.
Remember this is our investment.
IMO the SEC is well aware of the situation with PAVC and all it
encompasses.
PAVC is in a unique situation in that the open market was flooded with
Illegal Restricted Shares on May 22, 2006 by the brokerages. Below are
the historical quotes for JPHC and PAVC.
These brokerages have hurt the Company PAVC on implementing its game
plan and time frame.

ATLANTA, GA, Jun 29, 2006 (MARKET WIRE via COMTEX News Network) --
Paivis, Corp. ("PAIVIS" or the "Company") (OTCBB: PAIV) provides
additional information regarding the procedures that Jupiter
Shareholders should follow in order to efficiently exchange their
Jupiter common shares (the "Jupiter Shares") for their new PAIVIS
shares ("Merger Shares") under the terms of the recently completed
Merger Agreement with Jupiter Global Holdings, Corp. Specific details
regarding the Merger Agreement and the Merger Shares can be found in
the Company's Form 8-K filings made on April 25, 2006 and May 17, 2006
with the U.S. Securities and Exchange Commission.
The Merger Shares to be received by the Jupiter Shareholders are
"restricted securities" as defined by Rule 144 promulgated under the
Securities Act of 1933. The Merger Agreement provides that the Merger
Shares will not be registered under the Securities Act, or the
securities laws of any state, and absent an exemption from
registration contained in such laws, cannot be transferred,
hypothecated, sold or otherwise disposed of until; (i) a registration
statement with respect to such securities is declared effective under
the Securities Act, or (ii) PAIVIS receives an opinion of counsel for
PAIVIS that an exemption from the registration requirements of the
Securities Act is available.
Due to the effectiveness of the Merger, the former Jupiter
Shareholders have now been registered on the transfer books of the
Company but certificates representing the Merger Shares can only be
issued in accordance with the Merger Agreement, particularly the
Exchange of Certificates Section 1.09 (i), whereby the Jupiter
Shareholders must surrender their Jupiter common share certificate(s)
to the transfer agent of PAIVIS, in order to receive their Merger
Shares certificate. PAIVIS provides its new shareholders from Jupiter
Global Holdings, Corp. the following instructions to complete the
receipt of their Merger Shares:
A.
If you owned shares in Jupiter as of May 23, 2006 that were held in
certificate form, please forward your Jupiter common stock
certificate(s) to PAIVIS' Transfer Agent to be exchanged for your
Merger Shares. PAIVIS recommends that you retain a copy of your
certificate(s) before mailing the original to the PAIVIS
Transfer Agent ("Executive Transfer"). You do not need to
endorse the certificate for transfer or include any stock power
transferring the certificate.
B. If you owned shares in Jupiter as of May 23, 2006 that were held
in a brokerage account, your broker is your key contact that
can help you receive your Merger Shares. All Jupiter shares
that were held in a brokerage account are beneficially held for
you and are considered "street name" shares and therefore you
are the beneficial owner of those street name shares. These
street name shares for Jupiter shareholders are represented on
the stock books of Jupiter by CEDE and Company (CEDE and
Company is the nominee name for Depository Trust Company).
Therefore your broker through its relationship with CEDE and
Company holds your Jupiter shares for you beneficially.
Executive Transfer is currently working with CEDE and Company,
and indirectly with your broker, to process the issuance of
your Merger Shares and the cancellation of your Jupiter Shares.
You must contact your broker to have them help you in
surrendering your Jupiter Shares so you can receive your
certificate representing your Merger Shares. The most practical way
of accomplishing this is for Jupiter shareholders that have their
Jupiter Shares in a brokerage account, to have your broker
surrender your shares to Executive Transfer for you. Specifically,
ask your broker to surrender on your behalf to Executive
Transfer your Jupiter shares that they and CEDE and Company
beneficially hold for you. Since you must surrender your
Jupiter Shares as per the Merger Agreement, and your broker
holds your street name shares for you, your broker must assist
you in the exchange and surrender of your Jupiter Shares to
Executive Transfer. If your broker has questions, have them
contact Executive Transfer at the phone number given below for
specific details on the exchange process by brokers.
C. Lastly, because of the terms of the Merger Agreement,

Any free trading shares of PAVC before.
I have been here since JPHC and have all restricted shares of PAVC which I continue to beleive will do just fine.
I have followed this Company for a long time, what I have found is PAVC is a real Company with revenues as stated in the last 10Q.
Posters will bash or pump this stock. I go by facts and my DD along with other posters and what their DD shows about PAVC.
I beleive the mess caused by the DTC and Brokerages put a time delay in the Companies near term goals.
With that said I beleive PAVC will be coming out with POSITIVE NEWS soon in acheiving its game plan to expand and grow revenues.
How long is soon? IMO it could be this month or early Oct. IMO PAVC could have a good upside run, to what SP who knows but PAVC is way undervalued here.
If you read some of the former PR's it explains the Company PAVC (former PAIV, APOA)has a game plan. I say the game plan is and has been initiated, it is time IMO.
The S/P anywhere in the Dollar range IMO is a great opportunity.

The only thing that works is use a Cash account not a margin account. I changed to Cash Account a while back. Or keep the certs in your name in your possestion. Anything in a margin account means per broker agreement that they can borrow your shares no matter if you put a higher GTC order in or not.
I did a lot of checking on this, Cash Account only. Ask your Broker if he is honest he will tell you thesamne thing.

Not sure if you all relize this because i did not till recently. your shares can be borrowed to sell by your broker thus making it easier for the mm's to short. however if you have a sell on your shares put in they cannot borrow them thus taking them out of circulation. keep in mind you can cancel this sell at anytime. i have mine for sale at 50.00 not that i look to get that but it does take all of my shares out of the mm game. put in a sale gtc and you can do the same here is how it works. they have x number of days to cover shorts. they borrow your shares cover the short and just short it again. thus increasing their time to cover them. without the shares available to do this they will have to cover sooner. most important to me is i do now want anyone borrowing my shares. they are mine and not to be used except by me. putting in the sale makes it so they cannot use them. I just sent this out to everyone on my Email Alert list. Trust me, that a whole lot of people!!!

Argonath IMO on PAVC
The only thing that we can do is to complain and call the SEC. Write SEC Complaints everyday if needed.
The Company can't do a dam thing or say anything due to the SEC Investigation IMO. If the Company says anthing it could be a detriment to them. It could be used against them for manipulation or some other stupid reason.
The brokerages and DTC caused this. The company PAVC is doing well in their game plan for Aquisistions IMO.
The Company does not have funds to fight these rich bohemiths, PAVC is a start up Company who IMO is way undervalued.
Besides with the SEC investigation going on they can't do a dam thing.
News coverage is needed for sure to show the dirty side of the DTC and brokers, but it seems the news media is in bed with the DTC and Brokerages as well.
Maybe someone can find a honest news source, have you had any luck in finding one?
As far as politicians their even more corrupt.
It is a shame but as I said all we can do is complain to the SEC every freakin day.

All I have to say is this...
Some brokers WONT let people buy, and if the trading chart that was posted yesterday is ANY indication, not too many people are selling.
Why the heck would you have so many 1 share trades? Its all the MM's trying to drive it down.
Our only hope is that the SEC forces them to cover... and the only way I think that can happen is for PAVC to institute a lawsuit, or go public with a PR and say screw the SEC.
The other thing PAVC needs to do is get a local Congressmen in their pocket for this... have them as a watchdog and if the SEC balks or plays games, open an investigation on the House floor and bring in ALL parties.
I would LOVE to see TDA say to Congree under threat of purjury... ummm we cant divulge that information.
