TnT playing charades? You’re a broken record?-eom
I'm sure Mark called it, the Punishment clause.
lol
And, Just for Schitz and Giggles.
What if NioCorp could buy all of the common shares, the sponsors own @ the weighted price, and then call the warrants to be exercised, or cash for them @ the weighted average?
Although I don't see calling the warrants as much of a problem being the SP would rise after the receipt of some contract, that gives NioCorp the cash to do it.
***************
Maybe the quote is for the warrants after they have been exercised and become common shares?
**********
Just dreaming out-loud!
***************
Yes Aardvark, you can use it. the Punishment Clause Pump
So what exactly is that quote for?
Is it a buy-out of warrants? No
It says common shares.
NioCorp gives cash for shares?
Who's?
NioCorp may instead settle all or a portion
of any exchange pursuant to the terms of the Exchange Agreement in cash, in lieu of Common Shares, based on a volume-weighted average price of Common Shares.
Thanks for your response scooter, I read this part and got excited over nothing apparently. LoL
Whoa is me. Haha
NioCorp may instead settle all or a portion
of any exchange pursuant to the terms of the Exchange Agreement in cash, in lieu of Common Shares, based on a volume-weighted average price of Common Shares.
Unless scooter, has a different opinion than mine being that he seems to be much more into the legalities of the documentation. It seems to me that NioCorp can purchase all of those shares at the volume weighted average. And if they can, wouldn’t that make all of those warrants Null and void?
Thanks for the post.
Yes I recall this discussion a few months back on the MB.
Good reminder as to Don Bacon of Nebraska getting extra allocations for the State, in pursuing Aluminum / Scandium Master Alloying
That is what seems to be happening as we wait.
Although it is allocated for 2024
Maybe that is why everything has moved to (as soon as possible in) 2024??
(Can't get the money if it's not yet available), but work is being done.
January FS?
thanks again

You Can, get away with it DM!
You smoke a joint with her, set the toboggan for your favorite bump.
she in front, you behind, she holds the rope and you hold her.
And you push off and as speed comes on, you hit the bump.
She excitingly screams, you (oops) excitingly grope,
And she bellows, "lets do it again".
It's her favorite bump too.

DM, I'm not much of a drinker, so I never would have had her drink in my face.

Go NioCorp Go
Hey scooter, about the certain conditions, and other certainties, stated a few times.
It mentions NioCorp buying out the shares of the Sponsors.
Could NioCorp buy the sponsons shares immediately upon having enough capital, from Stellantis?
Buy-Bye?, see you GXII, Thanks for nothing!
***************
I admire people who can wade through the legal-eze and understand it properly.
As long as I can trust what they are spousing.
Thank you.
Go NioCorp Go
General-ly speaking, I would not have you in my platoon. sorry to burst your bubble.
LoL good one EC
You said the same thing last week
Something about 5 green days.
Welcome to the Stock that never does what it’s supposed to.
What makes you think so?
The late buying or chart or insider info? Etc
That fire will quickly burn out if no news before Monday
At least that’s what I read, a strong showing on Friday is in anticipation of news Monday, but if that news does not happen those shares will fall back into the obis.
You could be right, but I think it would have been more of a disaster, because all of those GXII players would have been selling their shares just to keep the warrants so we would’ve had that 25% equity and then Stellantis would’ve wanted another 25% or whatever their plan is.
I think with the way it is right now is more beneficial even though we are being screwed, from the SPAC
The ball is in the court of Stellantis and EXIM, if they want this mine and it’s minerals.
Instead of GXII players (Who don’t give a ratz azz) , then Stellantis and EXIM
Just my opinion
Is it fact or agenda?
there will be no common stock survivors.
True eom
Yes but the dilution Mark has been giving us is not Financing it is expensive paydays. ((not my paydays))
I’m paying for it.
Over 300 million shares outstanding, do you remember that amount? Then it went to 30 million and our price is 1/3 what it was before the SPAC deal.
When I bought my shares there were 85 million shares outstanding.
And after 10 years he still using convertible financing to keep the lights on.
How could a man who ran Molycorp not put rare earth elements in the feasibility study? It’s funny to put it in there now isn’t it?
Did he not consider the green economy or electrification? Why didn’t he clue and when mountain pass was purchased?
Unreal
It’s dilution every friggin time. EOM
I wonder who told Fernanda, to run like the wind, because their will be visitors coming?
So much time passing, gives ample food for thought.

Move it Mark.
What do you think about the TSX
You know, Canada being a Third World country and all.
Or we are about to be purchased or merged with Rio Tinto. They seem to have the same independent auditor. That would make things easy wouldn’t it?
https://www.riotinto.com/can/-/media/content/documents/canada/audits/rt-canada-audit-report-2021.pdf?rev=b9b035ff965745178b28bbd8e9ea613d
Yes agree.
175 years worth of experience, and they are number one, and they said yes to NioCorp, because we need multinational / international experience, especially now with our subsidiary NioCorp technologies/ R&D in Europe.
I’m sure they are also all over ESG

https://publications.aaahq.org/accounting-review/article-abstract/93/4/203/4056/Auditor-Multinational-Expertise-and-Audit-Quality?redirectedFrom=fulltext
Using a sample of multinational client firms headquartered in the United States, we consistently find that audit quality is stronger when the auditor possesses expertise conducting global group audits, possesses particular expertise in the country where a client has a significant subsidiary, or possesses both types of expertise on an engagement.
NioCorp Appoints Deloitte & Touche LLP as its Independent Auditor
And we get number one!
Finally
Big 4 audit clients are what arguably make the largest audit companies in the world worth working for. These companies, as you may already know, are Deloitte, PwC, Ernst & Young, and KPMG.
LoL Stark. ^5
Sorry about the typo.
Thanks Spark nice article and good to know about Titanium Sponge
Processing improvements at NioCorp's Canadian demonstration plant have allowed the critical minerals producer to start generating titanium tetrachloride, a key intermediate in titanium sponge production.
In 2022, the price for one kilogram of titanium sponge metal in the United States came to an estimated 11 U.S. dollars, which was an increase of nearly 2.8 percent from 2018. Titanium sponge metal is a porous, brittle form of titanium.
I’m sorry for Mark Smith
He found himself in a business he should not be in.
The man who ran Molycorp (rare earth elements) takes over a company called quantum rare earth in 2013, changes the name and doesn’t even mention rare earth elements in any feasibility study, promises imminent financing, doesn’t deliver until rare earth elements become a thing, and all of the sudden it’s the companies focus. In 2021
1/10 reverse split and still can’t deliver in 2023
At least one of us became rich in the last 10 years
Ooops and Walter Can’t forget the Gloryhole in Largo (2015)
No sour grapes.
He had plenty of time for Largo 40x investment.

Praising the NR on Monday and calling for a new 52 week low today.
Must be tax season.
Or
1.
2.
3.
Etc
But take a leap and reach out to him. And while your emailing Jim, perhaps ask him his definition for Several Weeks.
It wasn't a public announcement to begin with.
It was an email reply to me.
"As soon as possible in 2023" was a self imposed time limit.
Can't hold him accountable for being hopeful.
Just because I share his reply with the board, does not make it a News Release. lol
*************
Afterall I have been overly enthusiastic myself!
I'm sure he will be disappointed to eat crow this Holiday Season.
Or maybe not. (we still have 3 weeks)
***************
I fully expect a News Release before Dec 8/23 about Auditor
At The AGM
I will not be in attendance But, I have a Question for Mark.
"At what price will you guarantee shareholders a 10/1 split"
Returning to them, their clout, via original Outstanding-Shares.
************
My choice would be C$110.00 ,which would put the SP to C$11.00 post split
That would counteract the reverse split and still allow the newest (cough here) directors to keep their shares.
And the warrants could be discarded. lol
ooops sorry TH, my bad, just kidding
Although, Mark does his best to disqualify warrants he issues. Keep the SP Low. simple
Truer words were never spoken!
you know these legal 'weasel' words are used to protect folks no matter how long things take.....
It’s working exactly the way Mark Smith wants it to. And the ConMen he gave our shares to
In nine months we went from a high of $15 or C$1.50 pre merger, to a low of $4.00. Or $.40 pre merger.
And nobody gives a dam as long as we’re up $.20 at a time.
The jokes on all of us people, Mark is making avenues for himself at the expense of us.
I know it’s wishful thinking but I sure hope he’s not chairman next year or CEO
Hope springs eternal,
let’s hope for three out of five.
PC do you know if NioCorp has delivered the ESIA’s Report to EXIM Bank, or if it comes from a government agency?
As per the link I put below there seems to be people that organized and write the material needed
ENVIRONMENTAL AND SOCIAL IMPACT ASSESSMENT REPORT
I assume that is the only reason we are still pending approval. Per the link you provided.
****************
About ESIA Report
https://www.exim.gov/policies/exim-bank-and-environment/environmental-impact-assessment-reports
LoL it’s classic NioCorp.
The rare earth elements are above ground and in solution as per Mark Smith, but they need further studies to determine whether it’s economically feasible to separate/ produce? LoL
It would probably cost more to put them back in the ground
And would definitely cost more to send them to China
Auditor December 8th
Remember; 100% of the fortune 500 companies are audited by one of the top 4 outside auditors
But in this case, several weeks means that’s just enough time to fk over investors.with a Reverse split that the company had stated before that they would not be looking to do that.
Indeed people change their minds, but there is a right way and a wrong way.
JMO
Several weeks is not meaningless, when you use it as a carrot to keep investors from bailing out knowing you are about to SPAC and 1/10 RS their shares.
The SEC has specific rules about forward-looking statements and insider information.
And you and me would have to disagree on 222 weeks being several. That’s more like several years
