From what I can tell after re-reading ...
Scott replied: Fair question, but one I have trouble answering because some matters are out of our hands. What I mean is this: the BB company, a 12g company, has governance matters with which it must comply before the agreement can be signed. While I expect them to be ready by end of next week, I cannot assure it. To be frank, we probably underestimated the amount of work they have to do up front, and might have been a little aggressive on the date.
... I'm hoping everyone can relate to the "governance matters" they have to work relate to by-laws, board of directors, and investors holding what are detailed as % required to approve the merger action. There are notices that go out for meetings and it is best to follow what the by-laws detail to avoid issues later on. Any extensions to the 10 day estimate would not be more than additional days, so perhaps everyone should just keep cool and hold their water a bit.

Deals or Q2 ... Today's Shadow of a Gap
I certainly have my guesses as to what's happening to drive the ri$E today. Whatever it is, I've a feeling the Q2 results we are going to see soon are involved. I'm not convinced that going above $2.00 and making that the floor is going to happen before a re-test of the $1.55 range. That alleged painting at $1.54 may have filled the gap, but I suspect that there's still a residule shadow that is going to take us back there. My reason for that thought is below (fast moving market + delayed reporting could be reason). Anyone think those 2 trades really make a return to mid-$1.50 range less likely or perhaps ... more?

QuePasa: A small firm with advantages to both sides
I concur with your thinking, and the propective merger partner is certainly not be doing it without a win for their interests also. Based on such QuePasa's relatively small rev$ there doesn't seem to be much there to be a drag. The profile of QPSA: Operates a bilingual Internet portal and online community primarily aimed at the United States Hispanic market. The company’s Web site provides users with information and content centered on the Spanish language, and offers marketing capabilities. In addition, it offers traditional portal services, including email and news in Spanish and English. The company also develops information retrieval and management software technology products. If 46 employees is accurate, they're at ~$2750 Revenue/Employee. No way that makes sense long-term.
Your views on Miller's number crunching and planning ability do match what I have gleaned also. With that in mind, would QPSA's present business and marketing size really get Miller to okay a deal or is there more his number crunching and planning has in mind than just marketing. We should have an answer July 15th.

The more I look at QPSA, the more I think it's the one they're going with. There's more info to be gleaned if one looks, but does QuePasa fit in better as marketing or perhaps something better. Now what if you were Miller and looking for fully reporting firm? Better?

I've been doing a brief bit of poking through available info and it is a 12g headquartered down the road. Just looking at the possibility that Scott did disclose the company today.

Well anyway, this is just a quick bit of information summarized and definitely not all encompassing. The trading sure does look interesting for those who like big yearly volatility. Lastly, it may be CEO change or coincidence today's volume well above norm. (I own none of it.)

My take on Q2 concurs with some others here
It just makes sense that unless the #1 dealership was closed for the quarter we're looking at $3-4M right there. In terms of the Navi-business results it is small potatoes in Q2, but signed deals and sizable contracts should start their engines nicely for Q3's report. That won't come for a while, but news will be coming that we can all digest and put analysis into. They definitely have some costs that were incurred last quarter, but who among us has serious misgivings on the goings on to date? The balls they are juggling are many and pretty impressive. Can management keep up? My vote = YES.
Now with all that said, who would have believed today's news would be such a Ho-Hum for the market's reaction. My thoughts on that have been spoken of before as I prefer a steady tidal rise in the stock to tidal waves. It's just another measure a serious fund manager or seasoned investor will look at before dipping in their toe to see how the water feels. Anyway, just a personal opinion and yet one I hope others can agree with.
Down $.01 on ~13000 shares sure feels pretty calm. Are we halted? ;)

Hadn't escaped my attention and likely a number of others had spotted it too. I'd been tempted to do a sell-buy based on as basic a question as it making a great move and a 50% retracer wasn't beyond the possibilities. Of course now the gap filled, which should take away that 'gravitational pull' as a previous post described. A heck of a drop and recovery to see how strong our grip on our shares is. I'd have only been out and in today.

Short-term I do see downward pressure based on pre-releasing the information on the switch before products were in the pipeline. I've been searching for why's as to timing = now, while agreeing with the view that Steve is planning some BIG things.

I considered 3000 was his buy today
It was the comment about another day-trader toy that I had issues with. NWAU reminds me of a stock I accumulated many shares of some time ago. I found it mentioned in an investor periodical (since discontinued) where the CEO advised the company would make $.25-30/share that year and was trading at around $1.50 for a looooooooooooong time after. The Fund Manager community took notice when they were able ($5.00+) and from the time it hit $10 to its top of $27 was 4 trading days. Now I'm not saying history will repeat itself, but NWAU caught my eye for for similar reasons and it has more going on.

Trust that there are people on this board that make 3000 shares look pretty meager. I'm not pooh-poohing your own holdings vs them, but I actually prefer what's happening. Basically, those stocks that live by news are flashes in the pan over time. As I've been saying, Q2-> results will be key to get those with real money interested and able to accumulate. We won't see that kind of demand til $5.00/share ...

Seconding Your Views - Today's Trades
It surprises me how much bandwidth is being expended on #s and worries. I cannot agree more with the view that management has much better things to focus on. In terms of my own views, I am two of the trades - not huge, but based on my own analysis the prudent thing to do at this point. If most of the posters here were euphoric at this juncture, I'd be a LOT more concerned. To those who fret regarding the #s, I recommend a good sleep and giving Miller a break. He doesn't need e-mail reminders, but you'll recall my earlier post about communications getting more infrequent. We got #s in the release so my focus is present day sales/profit as we near Q2 close. I estimate $5.5M/$.06 profit.

I Second Hog's Viewpoint
It's definitely intriguing as to what JalapenoBuck's motivation may be. Whatever it is, I always look beyond bash and trash of those with non-bullish views. Frankly, 99.9% bullish is boring as everyone cheers and sees only positives. There are always issues with any company - not the least of which is competitors and management execution. Let's look at the ?s as if we don't own the stock. Let's focus on the ?s and not worry about the messenger. I'm definitely not a 15 year vet of the auto sales world, but the business is cut-throat and the buying public is fickle. He's asked probing ?s that offer an opportunity to probe him and NWAU management in the process of furthering our understanding.
Anyone who has spent any time on the message board / chatroom sites would recognize JalapenoBuck being anything but the typical basher. He's posted his views and based his messages on real questions instead of the typical "you don't know what I know, but be afraid - be very afraid, but I can't say why". Let's focus more of the dialogue on the ?s and less on the suspicions of the messenger. If the bulls are right, the stock's price performance will be uP and rewarding. If we're missing some issues and industry norms that he's on top of, we're much better off having JalapenoBuck in the mix. If he's not "real" that will become apparent from answers we dig up. With that in mind, let's move ahead.

Of Pink Sheet Scams & NWAU
Like most here, I've been contemplating the possibilities of the company going forward and doing the $.30+/share Net for 2005. We will get further along in the process of finding out the "truth" soon enough - with Q2 results, pre-NMS audits, and new business deals from the GPS side. I expect e-mails and other inquiries to find less and less responses from management. At least that will be happening if Mr. Miller and the rest of the team have smarts. In the big scheme of things such a "quiet period" will bring some nervous jitters to the emotional among us. I believe we'll soon enter it.
With the previous scenario in mind, I have a simple question for the group. If this firm were trying to fake out NWAU's investors by creating a mirage that would bring share value higher: Why would they be getting police departments and District Attorney offices looking at its GPS product? It would seem quite likely for the multi-state law enforcement organizations to do some serious pre-test auditing of the firm before signing up to try their product? I have no direct info this has happened, but perhaps someone here does. If a fraud, these guys must be nuts.
PS: I recall a :( experience with a pink stock that seemed real, but turned out not to be. I paid a heavy "tuition" being educated not to repeat that mistake. This pink is the only one I have done since that mid-1990's experience. I don't expect to be disappointed holding this one ...
