ich kann deine argumente nachvollziehen. nur ist eben die aussage: "der deal ist wahrscheinlich vom tisch" etwas völlig anderes als "ich glaube, der deal ist wahrscheinlich vom tisch". das eine ist ein fakt, das andere eine meinung.
meine argumente für den deal habe ich hier in den letzten wochen schon mehrmals gepostet:
1. ja, im letzten filing und in allen davor wird das festhalten an dem deal dokumentiert.
2. wir hatten bereits einen fond ausfindig gemacht, der sich an der finanzierung des deals beteiligen wollte. die 4 mio. aufzutreiben halte ich also nicht für problematisch.
3. sollte es die auflage geben, dass zhengda bei einem US-listing nicht gleichzeitig im IT-bereich und im education-bereich tätig sein kann, so hätte auch zhengda ein natürliches interesse an dem deal. ich schreibe ausdrücklich "sollte" und "hätte". wir wissen, dass es bei hartcourt so war. die vermutung liegt in meinen augen nahe, dass es bei zhengda nicht anders ist. und wenn zwei parteien einen deal machen wollen(!), machen sie den auch.
4. es steht wohl ausser frage, dass die chinesische regierung ihr bildungssystem in sicheren (sprich chinesischen) händen wissen will. daher scheint mir ein plan, die anteile auf verschiedene chinesische player zu verteilen, sehr sinnvoll. auch da passt zhengda ins bild.
5. ich denke nicht, dass die regierung dem deal mit Beijing Yanyuan zugestimmt hätte, wenn die pläne von hartcourt dort schon wieder enden würden. es liegt auf der hand, dass hartcourt mehr vor hat, als diese eine beteiligung zu übernehmen. was läge näher, als vorhandene MOUs, oder zumindest einen teil davon, umzusetzen. von den bisher veröffentlichten MOUs/DAs ist zhengda mit abstand der attraktivste.

mal ein paar hinweise dazu:
1. selbstverständlich ist die allianz mit zhengda aktuell nicht vorhanden. @CE, soweit ich mich erinnere gibt es kein posting von franz, in dem er schreibt, dass diese allianz hier und heute existiert. ergo ist es lediglich ein versuch von dir, franz eine behauptung in den mund zu legen, die er niemals getroffen hat, und diese dann als spinnerei zu verunglimpfen. einer der ältesten tricks der welt.
2. franz spinnt sich hier absolut nichts zusammen. zusammen spinnen würde bedeuten, dass die möglichkeit einer allianz zwsichen hartcourt und zhengda frei erfunden ist. jedoch ist das genaue gegenteil der fall: es existiert ein von hartcourt veröffentlichtes MOU zur bildung dieser allianz! es existiert eine pressemitteilung von zhengda, in der auch von deren seite die abgabe ihrer beteiligungen an hartcourt bestätigt wird! zusammen spinnen ist wohl was anderes!

Under the terms of the agreement between Beijing Yanyuan and the Company, Beijing Yanyuan committed that its net profit would exceed RMB 6 million (US $827,000) for the year 2008, RMB 10 million (US $1.379 million) for the year 2009, and RMB 14 million (US $1.931 million) for the year 2010. The 69 million restricted common shares issued by the Company in connection with the acquisition will be released to shareholders of Beijing Yanyuan in three installments based on the profit realized by Beijing Yanyuan over the three-year period from 2008 to 2010. sie könnten das geld inzwischen verballert oder verdoppelt haben. diese information hilft einem ende august schlicht nichts mehr, um die lage der gesellschaft einzuschätzen.

ich bin mir nicht sicher. der sinn des 8k besteht ja darin, die öffentlichkeit über kursrelevante ereignisse zu informieren. der abschluss der akquisition wäre sicher so ein ereignis. andererseits ist die nachricht von der bevorstehenden übernahme ja bereits seit juni bekannt gewesen. da sich an den rahmenbedingungen nichts geändert hat, muss wohl kein 8k her. anders wäre es wohl, wenn hartcourt nun mehr aktien ausgeben müsste oder der zugesagte gewinn sich geändert hätte, weil das wiederum eine neue kursrelevante information wäre...

gestern wieder grün geschlossen, bei erneut geringem volumen. wenn torres richtig liegt könnte ein stabil gehaltener kurs bei um die 5 cent ein zeichen für den bevorstehenden abschluss des deals mit zhengda sein. wenn keine manipulativen käufe dahinter stecken, ist es eine normale marktbewegung. ehrlich gesagt, ich weiß gar nicht, was mir lieber wäre...

da gibt es vieles, was man in den letzten beiden jahren nicht verstanden hat. z.b. auch das einstellen sämtlicher kommunikation mit den aktionären.
viele von diese fragen werden wir wahrscheinlich nicht beantwortet bekommen und die meisten spielen auch keine rolle mehr. insgesamt lassen diese vielen fragezeichen in meinen augen aber eben den schluss zu, dass wir als außenstehende die komplexität der probleme, mit denen hartcourt in den letzten jahren kämpfen musste, kaum einschätzen können. daher halte ich es auch für vermessen, wenn man die schwierigkeiten in zwei bis drei punkten auflistet. ich denke, das ist nicht mal die spitze des eisberges.

hm, ich denke, das kann man niemandem verübeln. die angegebenen zahlen sind ein veröffentlichter fakt, alles andere kann und muss jeder auf seiner persönlichen wahrscheinlichkeitsskala einordnen.
die chinesen wollen ja kapitalgeber und private investitionen in ihr bildunssystem, sonst hätten sie dieses ja nicht ende 2005 für ebensolche investitionen geöffnet. andererseits wollen sie eines der herzstücken ihrer pläne zum aufstieg zur wirtschaftlichen supermacht auch nicht an ausländische AG's verkaufen. hier einen mittelweg zu finden, den die chinesen akzeptieren ist sicherlich extrem schwierig. ich denke, es ist genau dieses interessengemenge, was hartcourt so lange zeit bis zum einstieg gekostet hat. nun scheint es aber geschafft zu sein. daraus ergibt sich auch noch ein weiterer gedanke. wenn es alles andere als leicht ist, in dieses business einzusteigen, wieviele echte wettbewerber hat hartcourt dann eigentlich?

also ich würde jetzt auch nicht soweit gehen, den deal als die grundlage für alles andere zu sehen. aber er zeigt, dass die regierung hinter dem projekt steht und damit ist eine der größten unbekannten zu unseren gunsten aus dem spiel.
ich glaube kaum, dass die regierung den deal genehmigt hätte, ohne dass es einen plan gäbe, wie diese übernahme in ein großes gesamtprojekt passt.

entweder es musste nicht geschmiert werden oder, da der deal nun mal zustande gekommen ist, es wurde geschmiert.
in beiden fällen ist die befürchtung, dass mangelndes cash einen einstieg in das business verhindern könnte, auf die eine oder andere weise aus der welt.

ein gedanke noch: wir sollten uns nicht darauf versteifen, dass wir nun jedes quartal in aller regelmäßigkeit ein viertel der angestrebten jahresgewinne verbuchen können.
die umsätze im education-bereich dürften vor allem aus studiengebühren kommen. ohne das system in china zu kennen, vermute ich, dass diese gebühren ähnlich wie in detschland seitens der studenten zu einem oder zwei festgelegten zeitpunkten im jahr fällig werden. und die einnahmen können natürlich erst in dem quartal verbucht werden, in dem sie auch entstehen. daher nehme ich an, dass es zwischen den einzelnen quartalen erhebliche umsatz- und gewinnschwankungen geben wird.

Da wären bei $827000 in 2008 => $206750 pro Quartal und davon 60% => $124050. Da heißt ab 1. Juni (Beginn des Geschäftsjahres) kann HRCT etwa 124K net profit für sich verbuchen.
Sehe ich das richtig ?
ich interpretiere dieses posting und vor allem den smiley dahinter in verbindung mit den nachfolgenden postings als versuch, den für hartcourt übrig bleibenden gewinn als lächerlich darzustellen.
dazu habe ich zwei anmerkungen:
1. in der pressemitteilung ist zu lesen: "...Beijing Yanyuan committed that its net profit would exceed RMB6 million (US$827,000) for the year 2008, RMB10 million (US$1.379 million) for the year 2009, and RMB14 million (US$1.931 million) for the year 2010.
wer des englischen mächtig ist, hat also mitbekommen, dass die angegebenen gewinngrenzen übertroffen werden sollen. es wird sich zeigen, wie weit diese ziele übertroffen werden können.
2. wenn man sich schon so genau diese 124k ausrechnet, sollte man auch bei anderen fakten genau bleiben! hartcourts fiskaljahr beginnt im juni, d.h. die ersten beiden quartale liegen in 2008 und die letzten beiden in 2009 (streiten wir uns nicht um den einen monat, den diese angabe nicht genau passt). nun sind die gewinngrenzen aber für kalenderjahre angegeben. also gelten die 124k lediglich für die ersten beiden quartale, in den letzten beiden quartalen fallen dann bereits 207k gewinn an.

mit "jedem" meinte ich natürlich nur jeder von denen, die hartcourt bisher verfolgt haben. schließlich gbt es auch hier einige aktionäre, die längst nicht mehr an den durchbruch geglaubt haben.
aber franz hat gestern exakt den wichtigsten punkt gepostet. mit der gestrigen übernahme hat hartcourt hat die offizielle erlaubnis der regierung erhalten, in das education business in china einsteigen zu dürfen. es gab hier z.b. vor kurzem einen beitrag, in dem vermutet wurde, dass hartcourt ohne das zahlen von schmiergeldern sicher nicht in das business einsteigen könnte und dass das cash zum zahlen dieser schmiergelder eben fehle. jetzt wissen wir, dass diese dinge keine rolle spielen.
hartcourt ist jetzt im education business! gleich mehr...

na das sollte uns aktionäre doch freuen, wenn hartcourt den aktienkurs in unserem sinne beeinflusst, um selbst im operativen geschäft vorwärts kommen zu können. eine win-win-situation für alle; für hartcourt und für alle, die investiert sind.

dann warte doch in ruhe die nächsten meldungen ab. solange dürfen wir hier doch ein bisschen fantasieren, oder nicht? in jedem einzelnen message board wird in zeiten ohne neuigkeiten darüber gesprochen, welche entwicklungen unter bestimmten umständen eintreten könnten. sich über solche ideen auszutauschen, das ist der sinn eines message boards...

ich denke, das sollte nur heißen, auch wenn sich die aktienzahl deutlich reduzieren sollte, sagen wir mal auf 200 mio., dann könnte hartcourt diese aktuell nicht aufbringen, die ersten beiden raten (ca. 140 mio.) aber schon. spätestens in zwei jahren müsste dann mit der anzahl der genehmigten aktien was passieren...

um die überlegungen von gestern nochmal aufzunehmen: warum sollte zhengda auf einen teil des vereinbarten aktienpaketes verzichten? kein vernünftiger kaufmann würde das tun.
eventuell würde es der regierung ja genügen, wenn zhengda nach einem IPO als softwarehersteller keine mehrheits(!)beteiligung im educationbereich mehr hält. denkbar wäre also z.b., dass hartcourt nicht mehr 100% von zhengda für 415 mio. aktien bekommt, sondern nur noch 60% für 249 mio. aktien.
die verwässerung wäre dann nicht so hoch, allerdings würde natürlich auch der akquirierte gewinn geschmälert...
übrigens beträgt die anzahl der aktien, die hartcourt nun nach der übernahme von Beijing Yanyuan insgesamt noch ausgeben kann nur noch 170 mio. also selbst wenn die obige überlegung stimmen sollte, würde das mit den bisher genehmigten aktien nicht funktionieren.

das zu lösende problem ist folgendes: wie kann man die education-gruppe in chinesischer hand behalten, ohne dass eine einzelne gruppierung, die dann auch noch im IT-bereich tätig wäre, die alleinige kontrolle ausüben kann.
lösung: man verteilt die stimmrechte auf mehrere gruppierungen in chinesischer hand, idealer weise würde ich sagen auf mindestens drei, denn zwei können sich leicht mal einigen.
wichtig: das ist alles ein reines gedankenspiel. ob die ursachen und motivationen wirklich so liegen, weiß niemand...

hartcourt wird nun über die nächsten drei jahre 69 mio. aktien an mr. hu ausgeben. wenn man an zhengda nun zum beispiel nur noch 200 mio. aktien ausgibt, lägen insgesamt 269 mio. aktien in chinesischen händen und ca. 210 mio. aktien im freefloat. auf diese weise bliebe die education-allianz in chinesischen händen, ohne dass zhengda eine tochter im education-bereich hätte, über die sie die kontrolle hätten.

gestern abend ist mir noch ein gedanke bzgl. zhengda deal gekommen.
ich hatte ja vor einiger zeit mal die spekulation geäußert, dass zhengda eventuell das gleiche problem haben könnte wie hartcourt, nämlich dass man in china als börsennotiertes unternehmen nicht gleichzeitig im IT- und im education-sektor tätig sein darf. ich halte das weiterhin für richtig, da ich zwischen beiden sektoren große interessenskonflikte zum nachteil der allgemeinheit sehe.
nun hatte ich vermutet, nachdem hartcourt sich von der IT-sparte verabschieden musste (und natürlich auch wollte), um ins education business einzusteigen, dass umgekehrt zhengda wohl auch deswegen seine education-töchter an hartcourt abgibt, um als softwareschmiede gelistet werden zu können.
aber: wenn nun zhengda und hartcourt ihren deal wie geplant durchziehen, dann hätte zhengda in drei jahren die kontrolle über hartcourt, oder mit anderen worten hartcourt wäre dann quasi eine tochter von zhengda. damit ergäbe sich aber für zhengda in drei jahren genau die gleiche situation wie heute. sie wären als softwareschmiede im IT-bereich börsennotiert, hätten aber eine tochter im education business. kaum vorstellbar, dass die behörden das genehmigen würden, oder?
das könnte zumindest eine erklärung sein, warum beide den deal bisher nicht wie geplant durchgezogen haben.

was mich an dem neuen businessansatz mehr und mehr fasziniert, ist seine vollkommene unabhängigkeit von weltwirtschaftlichen schwankungen. ob wir nun in eine rezession schlittern oder nicht, ob in amerika die hypothekenbanken zusammen brechen oder gerettet werden, ob in den USA oder in europa die konjunktur lahmt. fakt ist: in china wird in den nächsten jahrzehnten fleißig ausgebildet werden (müssen). daran kommen die chinesen nicht vorbei. selbst wenn deren eigenes wirtschaftswachstum mal drastisch abkühlt, wird bildung in china dennoch ein sicherer investmenthafen bleiben.

bin aus dem urlaub zurück. habe heute morgen gut gelaunt und total erholt mein büro betreten und mich den vormittag über durch die postings gearbeitet.
da ist ja schon einiges interessantes dabei. vor allem die email-antworten auf einige anfragen lassen auf eine offenere kommunikation mit den aktionären schließen. ein shareholder letter von mr. hu soll erscheinen, ich bin gespannt.

On June 13, 2008, the Board of Directors of the Company appointed Mr. Zhenyu Hu as a director of the Harcourt Companies, Inc. (the “Company” or “Harcourt”) to fill a vacancy on the Company’s Board of Directors. Mr. Hu will not be assigned to any board committees at this time.
Since October 2004, Mr. Zhenyu Hu has been President of Beijing Yanyuan Rapido Education Company, a company in which Hartcourt recently agreed to acquire a controlling equity interest. Mr. Hu has served as the editor of the magazine “Successful Way” since October 2004, and has served as director of the Science Park of Peking University since September 2004. Mr. Hu received his Masters Degree from Peking University in 2004.
On June 13, 2008, Hartcourt entered into an agreement (the “Agreement”) to purchase sixty percent (60%) of the equity of Beijing Yanyuan Rapido Education Company (“Beijing Yanyuan”). Under the terms of the Agreement and subject to certain closing conditions and other conditions set forth in the Agreement, the Company will pay to Mr. Zhenyu Hu, the sole shareholder of Beijing Yanyuan , 69 million shares of the Company’s restricted common stock, which is approximately US$3.4 million. Under the terms of the Agreement., Beijing Yanyuan committed that its net profit would exceed RMB6 million (US$827,000) for the year 2008, RMB10 million (US$1.379 million) for the year 2009, and RMB14 million (US$1.931 million) for the year 2010. The restricted common shares to be issued by the Company in connection with the acquisition will be released to Mr. Zhenyu Hu, the sole shareholder of Beijing Yanyuan, in three installments based on the profit realized by Beijing Yanyuan over the three-year period from 2008 to 2010. If the profit realized by Beijing Yanyuan in any of the three years in the period from 2008 to 2010 is less than the profit target committed to by Beijing Yanyuan for such calendar year, then the number of shares issuable by the Company is subject to reduction as set forth in the Agreement. After the acquisition is closed, Mr. Zhenyu Hu, the sole shareholder of Beijing Yanyuan, will have 69 million shares of the Company’s restricted common stock and have a 40% equity interests of Beijing Yanyuan.
