If you invested based on the first 2 you likely have grounds for a lawsuit - not worth joining class-actions, but first-in best-dressed if you file individually based on company fraud leading to losses.

If you bought based on #3 aka "bigger fool theory"... well, never ever ever do that.

D&O insurance. Class action lawyers get the D&O insurance and if there are any pennies left over, the shareholders will gett nothing or basically nothing after administrative fees and postage.

Butt the class-action lawyers gett paid first - off the top - and will tke most to all of the D&O insurance and personal judgements against MASSEY et al. (which may be uncollectable). Unlike most pennyscams, this turd was bigg enuff to pay for D&O insurance.

Too much $$$ lost here for the SEC to ignore this one.

This overt scam ends only one way:

1. The SEC sues the company and several current and/or former employees/officers/directors, including, butt nott limited to, NEWBY. MASSEY. and WITLESSKOWSKA. Possibly additional directors and officers.

2. Shareholder class action plaintiff lawyers will first announce investigations and then file class action lawsuits and troll for shareholders so the firm with the most $$$ claims can be named the led class-action plaintiff counsel. The class action lawsuit will name the company and all of those in #1 above as defendants.

3. Criminal indictments for most or all of those in #1 above will issue and they will be arrested (unless in North Korea), bailed, tried, CONvicted, and imprisoned.

4. The company will be liquidated in Chapter 7 bankruptcy., FINRA will cancel the ticker, and this iHub board will become the Solar Integrated Roofing Corp (fka SIRC) board and will contain years of ridiculous posts claiming the liquidated company is coming back and that naked shorts will have to cover and all kinds of utter nonsense.And then it will slowly die.

When will they restate previous financials?

Latest filing was to end SEC filing requirements - $SIRC has intentionally re-joined the OTC non-reporting sewer.

Other companies release 8-Ks to announce "its come to our attention that previous financial statements can not be relied upon for accurate disclosure..."

That surely seems to be the case here - granted, most realized that long ago, which is evident by the price-trend over the past 2 years.

It seemed to be same old same old. As far as I am concerned there was nothing new in their PR. Everything mentioned in it was no surprise. Not too many specifics.
Except they left out anything to do with the last PR Up-list.

It doesn't seem like the market thinks it great news.
As the old saying goes, you can't beat a dead horse.

Or because the "project' is a CONtract with a prison inmate to put a solar PV panel in his cell window, and the prison won't allow access.

In this situation, the cell may be earmarked for future occupancy by MASSEY, NEWBY, or WITLESSKOWSKA.

I beg to differ. Even though I have begun to hate the company over the last year, I think this was the first realistic, professional PR in a long time. However, I did not like the nebulous part of not being able to start a project because they could not get access, and from their wording it sounds like may not have access for a few months. A little more detail would have been appreciated.

When companies word things like that, it usually is because they are trying to hide an embarrassment----perhaps here they did not realize certain permits, or the like, were necessary, or perhaps needed to obtain a right of way easement, and now they have to wait through the process. Just a guess.

They should just keep their mouths shut and never give PR again.

Commercial Project Update:

This is due to several factors beyond SIRC’s control. The project is now expected to begin construction in the third or fourth quarter of this year. Calaway and SIRC remain committed to moving this project forward and will continue to work together to make progress on this new agricultural initiative.
The Lordsburg Green Hydrogen project currently remains in the development phase. We are actively working with our development and project teams, including partners, to advance this project. We will continue to provide regular updates on key milestones.
PLEMCo recently completed the EVSE Project at the Barstow Veterans Home which successfully passed final inspection this past week. Next week, PLEMCo starts the EVSE project at Olive View Hospital which represents a $600,000 opportunity. PLEMCo has also completed four additional commission-only EVSE locations for the contracts with Los Angeles County .
MacKay Roofing is completing the first of three buildings on a commercial contract valued at $1.4 million in addition to the residential roofing projects in their pipeline.
Milholland Solar , as expected, has experienced a slight slowdown due to the new regulations in the state of California . That said, the firm has added two additional Battery Installation crews to support the growth in that portion of their market. Solar sales are increasingly opening new markets outside of California as well. Geographic extension remains a major focus for our residential and SME commercial division.
Balance and SIRC’s shared services division has generated dramatic increases in volumes, revenues, and profit margins. This was due in part to synergies across our businesses and the strength and maturity of the Balance brand. Company basically stated they have little cash to move forward, the SPAC deal was so nebulous that no one can value what it means to SIRC shareholders. I wonder if it was even done with the new management's consent, as it was Massey's last act before he cancelled his Preferred A (voting control) stock. The CEO basically said we will not hear from him for 90 days.

So why should anyone buy. And if no one buys, gravity will just inch it downward.

It doesn't matter if there is good news or good PR or even if they said they were going to the New York Stock Exchange.
At the last 5 minutes of the trading day (every day) there is a sell off.
The stock gets either crowded with ask bids or the ask bids give into the bids which keep dropping because they know the asks are running scared., causing the stock to go down.
