Greg Halpern had not completed the required SEC filings for three quarters. He filed a ridiculous 8-K. He was planning on filing an extension before he was shut down by the court. He intentionally took MAXD to the Expert Market to force Vechery’s hand. He was running out the statute of limitations to avoid forensic accounting. He has a long track record of running pump and dump schemes that only work out for people on the list. He’s been running the company as his personal cash cow for years and “looting the shareholders,” according to the judge. If anyone is responsible for the SEC potentially “suspending this ticker” it is Greg Halpern, not Harvey Vechery.
By the way, to the question the board poster asked about this comment, “SEC is destined to suspend this ticker soon Okay!!!!,” the first question I would ask is why is this board poster excited about the SEC suspending the stock? Does Halpern think this leaves him off the hook? Hardly.
The SEC does not publicly announce when there is an ongoing investigation. I personally know of several shareholders who filed complaints with the SEC in the past and others have openly stated on the Yahoo board that they have been communicating with the SEC, as well as the DOJ, about Greg Halpern and MAXD. Does that mean the SEC is going to suspend MAXD? I have no idea. In all honesty. It’s entirely possible as there are certainly issues with the way Greg Halpern did business, but none of us have any way of knowing what they are going to do, or if they are even considering it. The government moves slowly, especially the SEC.
Is the potential for an SEC suspension a concern for the Vechery legal team? I would imagine it would be. I’m sure that’s one of the many things they are dealing with when Halpern ran the good ship MAXD aground on Vechery’s doorstep.
Back from the beach and catching up. A few points to consider from recent posts, when making comments about who is in charge and SEC filing dates, you must look at the big picture. Greg Halpern was in charge from the beginning until he was removed by the courts backdated to April 28th. He is no longer the CEO. That is public knowledge. Until that point in time Harvey Vechery was limited in what he could legally do.
As I have stated repeatedly, the Vechery legal team was not allowed to look “under the hood” until the end of the day May 18th as Halpern was suggesting online that he was going to file a “motion to reconsider” and fight the verdict. The legal examination for the Vechery team began the following day on May 19th. At that time, they started investigating the overall condition of the company and began the legal “forensic” process. Over the course of the next several weeks they discovered issues that needed to be dealt with, financial, legal, and technical. This led to an ongoing discovery process behind the scenes. I’m sure they will address the shareholders when they are ready. Working with the SEC, including issues of past due and current filings and reports, is part of the process.
In the meantime, what has Greg Halpern been doing? He registered a website in Harvey Vechery’s name and began posting more defamatory comments about Vechery and other individuals. He then registered the Vechery company name and bragged about it on the new website. He posted photos of Harvey Vechery’s house on the website and legal proceedings from a past family court action. He modified his Hoodwinkers website and continued with the libel and slander campaign from his other sites. He and his minions posted negative information about Vechery on the boards and issued veiled threats, including talk of potential class action awsuits. He then began posting that Vechery and Halpern were in “live talks” about the Japan business, working things out, and moving on together, which never happened. This was apparently posted on a foreign website after presumably doctoring illegal audio recordings of prior phone conversations, probably edited to appear as if they were current.
These actions were all against the court ruling which prevented “defendant Halpern, and anyone acting in concert with him, are permanently enjoined and restrained from, directly or indirectly, by use of any means or instrumentalities: Making false statements about his relationship with Max Sound.”
Are these the actions of a person wanting to reconcile with Vechery? Do any of these actions show any form of remorse? Are these the actions of a person who cares about SEC filing schedules or the shareholders? No. These are the actions of a man attempting to extract payment from Vechery, through any means available to him, including extortion, blackmail, intimidation, and threats of lawsuits. These are the actions of a man who cares only for himself.
For Halpern minions to be continuously posting about due dates is humorous, especially considering Halpern appears to be undermining Vechery every step of the way. If Greg Halpern truly cared about SEC earnings reports, or anything else related to MAXD and the shareholders, he would stop antagonizing Vechery and start cooperating.
How would you know that ?
Kinda late to the party.... Harvey Vechery
is new leadership....
SEC is destined to suspend this ticker soon
Okay!!!!
CEO Greg Halpern, as usual, fails to deliver on his obligations.
SEC is destined to suspend this ticker soon.
It's the 8th now
ya so much for vechery taking over
“MAXD Earnings Date Jul 05, 2023 - Jul 07, 2023....”
Greg Halpern hasn’t filed the required reports in three quarters. The 8-k he filed is a laughable dime store novel. According to his posted comments, Halpern was planning to file another extension on May 19th. Halpern is the same man who intentionally took MAXD from the OTC to the expert market, more than likely to delay the forensic accounting he knew was coming.
There are no earnings to report. There is no ongoing business. All of this is due to Greg Halpern’s mismanagement. And the man who is chronologically challenged has the nerve to post a due date for an “earnings report?” This is nothing more than deflection from Halpern to take the focus away from his past track record and his current claims that he is having business conversations with Harvey Vechery.
MAXD Earnings Date Jul 05, 2023 - Jul 07, 2023....
I'm not hiding like the ex-CEO of MAXD.
I agree that lady justice is slow. Will lady justice stop the bleeding at nineteen years?
Is that East or West Normandy, nevermind....
Lady Justice is slow going,
but productive in the end....
“Those post's were from Constance Nash, who seems to know the poster quite well.” Connie Nash thinks she knows the former TA quite well, but if she did, she would have never tangled with him in the first place.
Connie Nash came to the former TA and friend for financial help because Greg Halpern had not made the contracted payments and she needed money. If Halpern had made the payments, she would not have needed help. In other words, it started with Halpern’s lack of ethics by inserting a poison pill into the contract. There’s a word for that, I think it’s called “hoodwinking.”
The bench warrant and judgment indicate they went to court over their disagreement. They won and Nash lost. As is the case with Greg Halpern, Nash chose to battle it out on the boards instead of in court. That’s not how it works. The former TA has repeatedly attempted to work things out with Nash to no avail. She is not interested in settling so they continue moving forward with a bench warrant and judgment.
The sad tale is about an ex-CEO that looted MAXD for fourteen years.
Team Halpern's facts are just like the facts from Nash. Who can believe a guy that predicted $100 million dollars in revenue and came up with zero?
No, it's plain to see that there's an agenda here of bitterness....
A sad tale about an ex,
censored transfer agent,
and all the corruption
surrounding the events
that had happened yesteryear....
I posted those remarks from CN,
not Greg Halpern!!!!
JGalt For Halpern to be mentioning current posts by Connie Nash
Those post's were from Constance Nash,
who seems to know the poster quite well,
along with the Former CEO
and
a few other people....
Truth about the real agenda from
a non legitimate MAXD shareholder,
IS simple!!!!
Let's Rehash old outdated information,
mixed with current events,
because it's a civic duty to bring awareness back....lol
Assuming that the Former CEO is posting is laughable....
Maybe posting Constance Nash remarks
should be my civic duty as well....
I'm more interested in Globex
and
the two person company, according to the filings....
Perhaps Constance Nash can enlighten the board....
“These statement's from Constance Nash is quite a mention 2014/2015, with all the horsing around between the ex, transfer agent....” For Halpern to be mentioning current posts by Connie Nash, of all people, and then linking to them as if it was breaking news speaks volumes about his current state of mind.
This is the same Nash who has repeatedly accused Halpern of forging her signature and destroying her company. Nash has accused him of destroying Elli Attia’s life as well. Halpern knows Nash has been bad mouthing the “ex-transfer agent” for years, while never showing up in court to battle her case. Sound familiar Greg? If you don’t show up in court, you can’t complain about the results.
Whether Nash or Halpern, you must argue in a court of law, not on the chat boards after the verdict is already announced. Halpern also knows they have a bench warrant and $2m judgment against Nash. For Halpern to be using her as a character witness to tarnish the reputations of her opponents in a losing legal case is quite rich! Once again, this is nothing more than deflection to get readers to look the other way instead of focusing on his recent deceptions.
“The animosity runs wild with Harvey Vechery's minions....” Although I am not driven by hatred and hostility, nor does anyone consider me to be a bitter person, I can also say it is typical arrogance on the part of Greg Halpern to assume shareholders who have lost money due to all his lies and manipulations would be cordial to him or open to any sort of reconciliation.
Halpern has lined his pockets and lived a lavish lifestyle on the backs of shareholders, investors, toxic lenders, and most importantly, his angel investor. Only a complete narcissist would believe shareholders would hold him in anything other than contempt after his Machiavellian maneuverings over the years.
This is, once again, typical deflection by Halpern. Can’t face the tough questions so lets turn the game around and call out shareholders for their “animosity.”
“There are no conversations going on between Halpern and Vechery. Not even in an imaginary forest. Zoltan has spoken.”
I am not a psychic trapped in a vending machine. Nor do I make things up to deceive people for a living, as Greg Halpern has been known for doing. Nor do I tell lies. Again, Halpern’s forte. I asked a series of specific questions and received specific answers. Therefore, I know there are no talks going on between Halpern and Vechery. Whether I like the answer or disagree completely with it is not the point. Once again, I am not relevant as the messenger. However, the message is important. Halpern is attempting to pull the wool over the eyes of shareholders by claiming peace talks are ongoing. They are not.
This statement from the judge needs to be kept in mind when wondering whether talks are ongoing: “defendant Halpern, and anyone acting in concert with him, are permanently enjoined and restrained from, directly or indirectly, by use of any means or instrumentalities: Making false statements about his relationship with Max Sound.”
I understand why Halpern doesn’t want these words consistently posted online, and why would he, but it’s important to understand why the court was inclined to make this statement. Because Halpern is once again making false statements about his relationship with Max Sound by claiming he is in talks with Vechery and apparently posting doctored audio of past illegally recorded conversations and portraying them to be recent. That seems to be a good reason to remind Halpern and all his concert goers.
The animosity runs wild with Harvey Vechery's minions....
I'm wondering all this talk about 14 years,
isn't the presidency
that took place with Globex about the same time????
These statement's from Constance Nash
is quite a mention 2014/2015,
with all the horsing around between the ex, transfer agent....

There are no conversations going on between Halpern and Vechery. Not even in an imaginary forest.
Zoltan has spoken....
Oh well,
back to the Beach....
One final question before I head back to the beach,
Here's a philosophical question related to the recent conversations about voice recordings. If Greg Halpern has imaginary conversations with Harvey Vechery and Scott Kapp in a forest, and no one was there to hear them, do these words even make a sound? In this case, no. The philosophy of Zen nothingness aside, the forest was in Halpern’s mind and the voices were in his head. There are no conversations going on between Halpern and Vechery. Not even in an imaginary forest.
“So much anger, hostility and aggression to be carrying around for 14 years or 20....” Anger is an emotion. Hostility is a state of mind. Aggression can be tactical. It’s easy to confuse the three, but they are not always interconnected. Once again, strong words do not always indicate an angry or aggressive mindset. Sometimes they are just representative of the factual information being presented. There are many negative things connected to Greg Halpern’s timeline at MAXD and there’s no way to present these facts without the appearance of emotion.
I have not been angry for 14 years, much less the 20 mentioned in the post. I only changed course when I learned the truth about Greg Halpern and his abuse of the shareholder base for his own personal gain. But those emotions faded, and there is now only reporting. If the facts are translated by Halpern to appear “aggressively hostile,” so be it. That is on him.
“I guess we'll see when the filings are released as to the truth....” The truth has already been released in the filings. Go read the 8-K analysis. This attempt to deflect from the facts and truths being posted, by claiming the truth will be posted sometime down the road, or in the next quarter, is typical of Greg Halpern.
“HV and GH two peas from a pod, is what it sounds like, and if true, how can any shareholder trust anybody with MAXD, anymore????”
This is a strange statement all the way around. The first part, “Two peas in a pod,” is delusional. The definition, “so similar as to be indistinguishable,” is nowhere near the truth. Harvey Vechery and Greg Halpern are at opposite ends of the biological spectrum. Halpern would like them to be stuck in the same pod, for financial reasons, but they’re not even in the same plant cycle. Halpern may consider himself to be a botanical fruit, but comparing himself to Vechery is not going to take root. As is the case with all plants, they can be irradicated. Halpern’s perineal life cycle in the Vechery pod has ended.
As to shareholders trusting anyone with MAXD anymore, you may be right. Halpern destroyed the trust between himself and the shareholder base with his self-serving actions and continual deceptions. Not to mention his arrogant attitude toward shareholders. That can never me repaired. However, that has nothing to do with Harvey Vechery as he was nothing more than the lender and a shareholder. But comments such as this one will impact the shareholder mindset. Not sure what Halpern’s motivation is here, but I’m sure it’s part of his agenda.
“No; I think there are talks happening, imo....An opinion is like, well, everybody has one....” Because doctored audio tapes were played on the uncontrolled, unmonitored, mafip site, reality is temporarily suspended and the belief that talks are happening takes hold. Even though said talks are not happening. By the way, stating “imo” (in my opinion) before making pronouncements which have been debunked does not disconnect one from the statement. It may offer some form of legal protection but, taken with the entire body of evidence posted, this looks to be nothing more than an attempt to post thoughts and disclaim them at the same time. This “having it both ways” approach seldom works in the long run. Just more old marketing tricks.
“Still, even a transfer agent, ex and current, must be wondering why there hasn't been any new News released since May 1....” The inability to interpret a calendar again. The Final Order from the court was released online at the end of the day on Thursday May 18 and the analysis began on Friday the 19th. That is exactly 48 days ago. Not the “six months” being claimed. As long as Halpern continues to post incorrect dates, I’m going to continue to remind him how chronology works. I also understand that 48 days is almost 7 weeks. If anyone wants to talk about the lack of information for 7 weeks, I have no issue with that as it would be factual.
“Legally there is nothing from keeping new leadership from releasing a statement, nothing....Perhaps Tenchi is correct!!!!” The board poster is correct on his first point, but he is not correct on the Tenchi point. There are no talks going on between Harvey Vechery and Greg Halpern. Not about MAXD business, and not about anything else.
This is simply a tactic by Greg Halpern to fill in the information void with his personal fantasy of reinvigorating the lost money stream. Formula Four Protocols again. The purpose? To make shareholders believe he is still relevant. To trick everyone into believing he is the magnanimous one who is negotiating a peace treaty with the army that just vanquished him. Trying to save the lives of his loyal subjects. This is just another Halpern fantasy designed to rile up the shareholder base to join his imaginary lawsuit when he eventually falsely reports Vechery turned down his offer. The reality has shown Halpern only cares about himself, not the remainder of the shareholder army.
“One has to wonder where's the statement from Harvey Vechery with the direction of the company....” I’ve repeatedly addressed this comment so let me try using an analogy that might help explain the situation going on behind the scenes. A car company sells a new car to an individual and he drives it off the lot in mint condition and in great working order. When the buyer stops making payments, the company has no choice but to legally notice the buyer and then repossess the vehicle. They believe they are returning a car with value and in working order. When the car is returned to the lot, they can see the vehicle had been trashed and will need repairs done before it can be listed for sale. The inspectors open the trunk and find legal files that not only complicate their ability to prepare the car for resale, but also prevent them from moving forward until the legal mess is sorted out to prevent further liabilities. When they open the hood, they learn that the engine is not in working order and the vehicle cannot be operated without extensive repairs. And then the former car owner started making noise about suing the company for illegally repossessing "his" car and was pointing fingers and blaming everyone but himself for not making the payments. He also began trashing the company on social media, which complicated the legal issues. They consult the company legal team for the correct path forward and request the mechanical department give them an estimate for repair. As the wheels of justice tend to run slow, days turn into weeks.
What’s the point? People can use their imagination to help understand what the Vechery team has been dealing with after taking over a company run for the last 14 years by Greg Halpern. The technology had not been upgraded, much less maintained, and the guts of the company, located beneath the hood, were not operable. The former owner had been living with the fear of forensics and had been hiding parts in low places and setting traps. Furthermore, there weren’t just skeletons in the trunk of the MAXD vehicle, there were decomposing bones that require NCIS forensic analysis before the vehicle could be moved.
Now imagine that the Vechery forensic team discovered when they lifted the metaphorical hood on MAXD. The bottom line is there is a reason for the lack of communication and it’s not due to imaginary conversations going on in the mafip green room.
So much anger, hostility and aggression to be carrying around for 14 years or 20....
It's more bias now then ever before,
because of that transfer of shares
that caused the duping,
right????
That's what I think!!!!
“Just because one is offended
doesn't mean one is right”
I guess we'll see when the filings are released as to the truth....
Still, even a transfer agent, ex and current,
must be wondering why there hasn't been any
new News released since May 1....
Legally there is nothing from keeping new leadership from releasing a statement, nothing....
Perhaps Tenchi is correct!!!!
For a case that was wrapped up,
even with the verbiage from
Honorable Judge Taylor that has been posted repetitively, of late....
One has to wonder where's the statement from Harvey Vechery with the direction of the company....
HV and GH two peas from a pod,
is what it sounds like,
and if true,
how can any shareholder trust anybody with MAXD,
anymore????
No;
I think there are talks happening, imo....
An opinion is like,
well,
everybody has one....
The reason talks are so "far fetched" is because of the defamation of character, slander, and libelous statements Greg Halpern made on the Hoodwinkers website. The same character assassinations on his new website. Posts on the chat boards. Illegally recorded phone calls. Lawsuits. Threats. Extortion phone calls, and more. Why would Harvey Vechery, or any legitimate businessman for that matter, have anything to do with a man with no morals, ethics, or values? Most people don’t associate with someone who has abused the relationship and taken advantage of them financially. Greg Halpern has cost Harvey Vechery over $8 million dollars, which is reason enough to not talk to him. The idea that Greg Halpern is the only one who can get Vechery his money back is delusional.
The people who invested in MAXD did not invest based in a patent troll and pump and dump format. I would say most of them invested based on the technology. I’ve read the filings. “Everything was fine and dandy when the PPS headed north.” That’s the problem right there. A typical example of symbolism over substance. Halpern only cared about getting the PPS up temporarily for the sole benefit of himself and his close associates. That is not building a company, it is selling the sizzle with no steak behind it. The only people who made out in those years were the ones being told when to buy and sell.
I do care, and I have checked the filings. Especially the fantastical 8-K, which anyone can go back and read the analysis to see how distorted it is. When the statement is made, “those deals and mentions were all Harvey Vechery and Greg Halpern, with bad actor's.... Read the filings!!!!,” it is nothing more than an attempt to trick shareholders into believing there are filings showing it is the fault of “bad actors” instead of Greg Halpern. Again, point that bony finger and blame everyone else for Halpern’s own mistakes.
One last thing, the assumption is that readers and shareholders have short memories, and that’s not true. Attempting to resurrect the “John Blaisure was in control” nonsense again is not going to work. Greg Halpern was always in control of everything at MAXD. He kept Blaisure “behind the Chinese wall” so he would not know how Halpern was siphoning off money for his own needs, including using the corporate debit card. That was how Google pierced the corporate veil and got the judgment. Do we really need to rehash this old news? Do I need to post all the Blaisure information again to prove Halpern wrong once again? More than happy to. All if have to do is, wait for it, copy and paste!
More hogwash; 14 years lol....
No, rehashing is from
a bias opinion,
And always has been,
for a short time,
not 14 years....
Everything was fine and dandy when the PPS started moving North....
What is hard to grasp or understand
is that those deals
and mentions
were all Harvey Vechery and Greg Halpern,
with bad actor's....
Read the filings!!!!
But let's point fingers at one person....
That's the former CEO,
and by all accounts it should be
because he was in charge,
however
a big part of those 14 years were under the helm of
CEO John Blaisure
2011 through 2019!!!!
Wait for it,
but Greg Halpern
had the company CC and controlled everything....
There's two sides to every story....
Dead in the water
You might want to actually check the filings, if you care....
(2011-2019)
Why are talks so farfetch????
I think shareholders get annoyed with 14 years of losses and no revenue. I think shareholders get annoyed when one fake promotion after another turns out to be a flop. I think Shareholders get annoyed when Halpern refers to Vechery apparently losing this imaginary monetary “shares vs shares” case, whatever that is, and then finished the sentence with repetitively exited exclamation points and the classic Halpern “lol.” Laughing at Vechery’s supposed monetary loses and then expecting shareholders to believe they are in talks to reconcile is a bit farfetched. No one is that naïve. There are no talks going on between Halpern and Vechery.
There is a huge difference between being a negative person, as opposed to unemotionally reporting factual information that happens to be negative. Once again, I “rehash yesteryears stories” because it’s important to remind people how we got here. 14 years of Halpern deceptions have let MAXD down the back alleys and side streets to the land of despair. He is singularly responsible for the loss of all shareholder money. Harvey Vechery is not responsible for MAXD being dead in the water. Anger? Don’t mistake strong words in a digital format for anger.
Fact: Harvey Vechery is new leadership!!!!
Fact: No word from new leadership since May 1,
And
actually Harvey Vechery knew this was coming,
when he lost the monetary case!!!!
Shares v shares lol
MAXD shareholders,
are talks happening, imo yes,
but
I'm sure copy and paste,
with so much anger is coming,
because there isn't anything else to do
but rehash yesteryears stories....
I know, annoying, especially when it is irrelevant information today!!!!
New leadership:
Get over it!!!!
Be happy....
It really annoys negative people....
“Halpern has engaged in conduct in his capacity as a director of defendant Max Sound constituting fraudulent or dishonest acts or gross abuse of authority or discretion with reference to the corporation.” Those words, included in the judgment signed by the Honorable Judge Timothy Taylor, are not “excuses,” nor are they “distractions from the truth.” They are the words of the court carved in legal stone. Shareholders should keep these words in mind when reading about the imaginary “live” phone conversations described by Halpern.
What would be “relevant” is for the content of each post to be analyzed and debated. The words are important. Not condescending titles or adolescent insults. Why is it that each time comments are posted the attack is directed at the messenger instead of addressing the actual message that was posted? It’s nothing more than classic Halpern deflection. Don’t have answers to the hard questions? Deflect by pointing the bony finger in any direction. The IHUB readers and MAXD shareholders who contact me are not fooled by this tactic.
Empty rhetoric will never win the hearts and minds of shareholders and investors. That want the truth. They want facts. 14 years of false promotions, failed relationships, and fake news made sure of that fact. As far as the court was concerned, that’s three “F’s” and you’re out. The word of Greg Halpern has been weighed and measured. That means his words no longer carries weight, and he is not trusted as a messenger.
Ex, censored transfer agent is trying
to be relevant to no end....
Excuses only excuses and nothing else....
“Why would minions try to run from the talks???? “ The so called “minions” aren’t running from the talks, they aren’t involved in the talks, because there aren’t any talks going on!
I can only speak for myself as I am not part of any coordinated group working in concert. But I know there are no talks going on. Tenchi is not in the Vechery loop so he wouldn’t know anyway. Nor is Rurouni. Halpern is also not in the Vechery loop anymore so anything he states is a complete fabrication designed to benefit a party of one. Greg Halpern. .
“Distracting shareholders from the truth?” Only Greg & The Halpernettes could take a simple message and twist it around to their benefit. As I clearly stated, ignore the messenger. In other words, ignore me. I don’t count. I’m fine with that as who I am is not important. What is important is what Halpern wants everyone to ignore. The message.
What is the message? That Greg Halpern is a serial fabricator. The he makes up his own “individual truths” as it suits him. The message is the truth exposing Halpern for the manipulator and deceiver he has become. That's why he wants everyone to ignore the truth in the message. The point is that talks are not happening. This is a fabrication designed to make Greg appear to be relevant and ultimately making Vechery look bad because “talks broke down.” Talks that never happened.
The point is that Greg Halpern is still using his Formula Four Protocols to invent his own reality. A reality that doesn’t exist for the rest of us.
Halpern is trying to deflect attention away from the fact that he destroyed MAXD. We all know that MAXD is in this situation because of one man. Only one person is responsible for destroying MAXD.
How is it possible that he couldn't even get one real deal in fourteen years? It's possible because nobody wanted to deal with his crazy ramblings. Who wouldn't be spooked after hearing about aliens and his thirteen lives?
Posting information countering a false narrative has nothing to do with me being relevant. It’s not about me and never has been. I am irrelevant, but the information I post is not. It’s about ensuring shareholders aren’t fed self-serving information designed to paint Greg Halpern in a positive light when that light is undeserving.
There are no conversations going on between Halpern and the Vechery group so why post a link to that information as if it’s relevant? Why deceive the shareholders into believing something is happening when it is not?
Once again, I am not “Harvey Vechery’s minion” as I don’t know the man, have never worked for the man, have never talked to the man, and am not taking instructions from Vechery or anyone else. I’m nobody’s minion, I am a lone wolf.
Once again, I am not important. I am not relevant and am not trying to be. I am simply a messenger and nothing more. However, the truth is important, and the message is relevant. Read the words and ignore the messenger.
Harvey Vechery's minion trying to be relevant
but
continues to be irrelevant!!!!
“With nothing burgers being served up, now....” The words written by the judge in the Final Order are not “nothing burgers.” They must be adhered to. Halpern already appears to be in breach of the court order by making false statements about conversations concerning future business of MAXD when said conversations have not happened. By making claims online that Harvey and Greg are having “live discussion between H. Vechery Scott and Greg Halpern everything will restart again.” Halpern is apparently in violation of the court order by making false claims.
"FYI A. B. C. Don't mean a thing, if HV okays it...." Vechery can’t just “okay it.” Even he would have to go back to court and open a new case. Why in the world would he do that? After Hoodwinkers and the new website, not to mention the false claims about live discussions on mafip, Vechery has little incentive to trust Halpern in any area.
"I'm guessing, probably why it's still pending, but that me.... The uneducated one...." There is nothing pending in reference to imaginary meetings so that guess is inaccurate. Education is an evolutionary process we are all part of. The point of being exposed to new material is so we can examine new evidence and reevaluate our opinions. My opinions have evolved over time as new information becomes available. The problem is when people refuse to accept factual information and alter their stance on the issues.
“Harvey Vechery and Greg Halpern are supposedly talking!!!! I'll wait to see who is correct, and not jump to conclusions....”
So, it’s “supposedly” talking now. They are not, supposedly, or otherwise. The board poster has already jumped to conclusions in past posts without waiting to see who is correct. It’s not a contest to me, I’m just reporting the facts.
What is it that Halpern doesn’t understand about the Final Order from the court? It is an official judgment by the court. Halpern did not contest it. It is a judgement that prevents Halpern from serving in any official capacity for MAXD. Including imaginary negotiations with Harvey and Scott. Along with “anyone acting in concert with him. And he wants shareholders to believe he is having live conversations with Harvey on behalf of MAXD on mafip?
IT IS HEREBY ORDERED, ADJUDGED, AND DECREED THAT:
Thus, based on the foregoing factual findings and for good cause, pursuant to Corporations Code § 304 and the equitable authority of this Court, defendant Halpern, and anyone acting in concert with him, are permanently enjoined and restrained from, directly or indirectly, by use of any means or instrumentalities:
A. Serving as a director of Max Sound for a period of five (5) years. Moreover, Halpern is hereby ordered removed as a director of Max Sound as of the issuance of this Judgment.
B. Seeking reelection as a director of Max Sound for a period of five (5) years.
C. Making false statements about his relationship with Max Sound, including by holding himself out a director, officer, or agent of Max Sound.
Rogue minion in denial, makes sense....
Harvey Vechery and Greg Halpern are supposedly talking!!!!
I'll wait to see who is correct, and not jump to conclusions....
Sad,
ex, censored transfer agent still trying to climb
up that hill....
H. Vechery
and Greg Halpern
in the upcoming filings
This must be heartbreaking to some....
Me,
waiting to read them....
There are no conversations going on between Harvey Vechery, Scott Kapp, and Greg Halpern. This is an intentionally deceptive approach designed to fool shareholders into believing Greg Halpern is still a relevant part of the conversation. He is not.
Keep this statement in mind as you continue to read; “At best, Halpern has revealed himself to be a chronically dishonest and incompetent director who performs no diligence when engaging with third parties on behalf of the corporation, resulting in conflicting and illegal dealings.” Furthermore, “the evidence plainly reveals that Halpern is unfit to serve as a director of the corporation, cannot proceed in his management without breaching his fiduciary duties and cannot stop himself from engaging in stock manipulations that continues to mislead shareholders and prospective investors. In fact, manipulation and abuse is all that Halpern has done for Max Sound, given that publicly available corporate filings (which were prepared by Halpern) reveal that Max Sound has had virtually zero business in recent years except for self-interested transactions with other companies associated with Halpern.”
These are the words in the judgment that the court agreed with before issuing the Final Order. Formula Four Principles aside, just because you desperately want something to be true doesn’t make it so.
Halpern wants shareholders to believe there are conversations going on for his own self-serving reasons. Once again, just because he wants it to be doesn’t mean it’s true. His only avenue for income is to extort or sue the man with the money. He said so himself when he stated, “ Greg Halpern needs H. Vechery resources to move Max Sound forward.” He could have just stopped at “Greg Halpern needs H. Vechery’s money,” Once again, just because he needs it doesn’t mean he’ll get it.
The former transfer agent was never censored. He is a legitimate shareholder. The board poster, and his master, no longer have access to the NOBO list so “they” wouldn’t know anyway. The stock was registered and legitimate. Halpern knows this. But as always is the case, the Halpern team has no relationship with the truth. His desire is to bring all those contradicting him down to his level so he can tarnish their reputation. Claiming the stock is somehow “illegitimate,” and referring to imaginary censorship allows Halpern to claim superiority of messaging in his mind. Formula Four mind tactics again. Coming from a man with the checkered past Halpern has on the record, including being booted from MAXD by the judge for “looting the shareholders,” is rich considering the man himself might be considered an illegitimate shareholder.
Whether any shareholder wants “Harvey Vechery and Greg Halpern talking with each other....” or not is irrelevant as we have nothing to do with their actions. What they do is up to them. But Halpern reporting they were having “live conversations” about future business is not true. Not to mention against the court order. Twisting that comment around to claim shareholders are against imaginary conversations is nothing more than the master of deflection, Greg Halpern, attempting to make claims for his imaginary lawsuit.
It's surprising that non legitimate shareholders,
censored transfer agent, with others
does not want
Harvey Vechery
and Greg Halpern talking with each other....
Simply amazing and hilarious, simultaneously....
I remember seeing a post from ex censored transfer agent
saying,
careful what you wish for
Yes!!!!
Harvey Vechery is new leadership....
Ask the HV team.
And for clarity:
Foreign = Minnesota
When are the filings ?
“ A little bump on the way that things had to be cleared out without affecting the insiders legally.” Another veiled threat reminder from Halpern to Vechery disguised as an innocent comment. Nice try Greg.
This post is nothing more than Halpern attempting to mislead shareholders into believing he is showing good faith by negotiating with Harvey and Scott. When it doesn’t work out, he will paint them as unnegotiable and inconsiderate of the shareholders investments. He will attempt to portray himself as a man of the people, working to salvage the company for the working class. That will be part of his basis for the lawsuit, designed to bring Halpern the money he couldn’t earn through legitimate means.
This is also another attempt to get shareholders, including this one, to serve up personal information to mafip, which I have no intention of doing. If these recordings were legitimate, they would be posted on YouTube, Reddit, or on Halpern’s personal blackmail websites.
Why do you think they are not posted on these websites? Could it be the long arm of the law has a much more powerful reach within these borders?
Shareholders are each allowed to believe whatever they choose to, but please think outside the box on this one and don’t fall for the Halpernesque subterfuge.
It's important to know the background to all statements made. “This isn't a surprise, H. Vechery and Greg Halpern in the upcoming filings.”
Before I get to the meat and potatoes of the post, let’s start out with a reminder of the legal statement made by the Honorable Judge Timothy Taylor: “defendant Halpern, and anyone acting in concert with him, are permanently enjoined and restrained from, directly or indirectly, by use of any means or instrumentalities: C. Making false statements about his relationship with Max Sound, including by holding himself out a director, officer, or agent of Max Sound.”
In other words, making false statements about his relationship with Max Sound is a violation of the court order. That includes “anyone acting in concert with him.” Those words have been weighed and measured. Words have meaning so anyone posting statements might want to consider that fact.
Now to the post. Harvey and Scott are not in communication with Greg Halpern in any way, shape, or form. Any audio clips presented as “live discussions” between the parties are nothing more than illegally recorded audio from past phone conversations, cut and edited by Halpern to fit his transparent agenda. Just as Halpern did with his fake Donald Trump stage appearance.
Halpern has been threatening on his hoodwinkers site to start dropping his illegal audio recordings for some time now, so what better place to do it than an unmonitored, uncontrolled, foreign website.
The idea that Harvey Vechery would consider a reconciliation with Greg Halpern after the defamatory, slanderous, and libelous comments made on the Hoodwinkers website, the new Halpern website, and on the boards, is not based in reality. But isn’t that the description of Halpern’s years at the helm of MAXD, not based in reality?
This is the only statement in the post that’s based in reality; “ Greg Halpern needs H. Vechery resources to move Max Sound forward.” True. Without Vechery’s money, Halpern has no chance of doing anything. I doubt anyone else would fund Halpern in any busines with his recent track record.
This isn't a surprise,
H. Vechery
and Greg Halpern
in the upcoming filings

Don't tell me that but this poster disagrees....lol

Greg Halpern is still the CEO of MAXD.
Why would anyone trust a random anonymous internet poster to be more accurate than the signed public filings from MAXD?
Years of Greg Halpern's lies being endlessly exposed should have taught everyone including yourself not to trust unsupported claims about MAXD, especially from internet strangers.
Clowns make between 40k to 60k,
and
here
Harvey Vechery's minions post for free!!!!
\“all legitimate MAXD shareholders want to see progress, as do shorts and mm's....” Shorts and MM’s? Are you serious? You intentionally placed the company on the Expert Market! And you want to go back to the “shorts” excuse?
“Hey professor it's not the falsehoods, it's the same old drawn out verbiage of yesteryear....” There are no falsehoods to report. That’s why the poster never accepts the challenge. It would be convenient for Greg Halpern to have everyone forget the past as it makes for a very ugly story, with all chapters starting and ending with Halpern. Of course he wants it to go away.
“I think professor missed on this one too.... Still no response on those words, indicating Vechery was in deed investing in, and upgrading the company's technology and engineering side....” Reading comprehension issues have been talked about many times in the past. Halpern makes accusations in this area but needs to look in the mirror. I’ve already dealt with this issue.
“Interesting, now we don't want MAXD to move forward with talks between Harvey Vechery and Greg Halpern.... That makes sense in minions world.... So angry at former CEO;( perhaps more fiber is needed in the diet....” No one that I‘ve heard, or any post I’ve read, said we didn’t want MAXD to go forward. That would be convenient for your planned lawsuit, but it doesn’t pass the smell test.
Shareholders want a return on their investment. They weren’t going to get that with Halpern. I believe the main reason Halpern was forced out of the company was that Harvey Vechery and the shareholders wanted the company to go forward without him. Most of us believe the company was not going anywhere under Halpern and wanted to start over. That’s completely different from suggesting we wanted the company to fail. I don’t believe anyone said they didn’t want talks to go forward between Vechery and Halpern either. It us just a major stretch of the imagination to believe Vechery would subject himself to that abuse twice over. I would venture to say most shareholders don’t believe they are talking about business right now anyway.

* In the past year, it has become clear which markets will give us the fastest acceptance and the quickest realization of our collective dreams, consumer adoption, brand awareness and financial success. Every day my team and I are focused on creating revenue events with big name customers and their associated partners. As we pursue and conquer these opportunities, it will be clear to our shareholders, manufacturers and content providers -- that consumers prefer the audio perfection created by MAX-D HD!
*Ask yourself -- "What would Max Sound's value be if consumers all over the world realized how MAX-D HD provides a far better audio experience?" You probably have an idea what that value could be, which is probably why you first invested in Max Sound Corporation. We have an idea too, which is why we keep investing our time, energy and financial resources (over seven figures has already been invested by our founders). I have personally invested four months of my salary purchasing MAXD stock in the open market, because I strongly feel our shares are severely undervalued. Our goal is that everyone will know about MAX-D HD and everyone will know about MAX-D stock. Right now the investor audience is small, but as you'll learn below, we think we now have the necessary elements for our shareholder base to grow substantially in 2015.
*Our sales and marketing teams are laser focused on penetrating the smart device industry, content streaming industry, auto industry and the television and film industry (post production audio for movie companies). The development team has concentrated on enhancing the existing MAX-D HD API, while developing additional API interfaces. The MAX-D API can be deployed across all streaming platforms along with most audio/video web based services. MAX-D HD can now reside in audio hardware (speakers and audio receivers -- such as car smart head units).
* One accomplishment in Q4 of 2014 was the completion of testing for Industry MAX-D HD Audio Boxes. I'll talk more about that below.
* We've also completed the initial development of the MAX-D Accurate Voice. Not only does it dramatically improve voice quality on cellular devices, it also has the ability to improve voice recognition in homes smart devices and auto infotainment systems.
