ARSC O/S and A/S are rediculous 17billion and 20 billion respectively. There is no way that ARSC is going up. a R/S of ARSC would kill shareholders. IVOI has 5billions. That is the reson for the merger with Ivoice. The R/S there is not good for the shareholders eithier. I bet that IVOI comes out ahead in some way. It appears as though they get nothing, but a R/S. I wonder if the shareholders of IVOI get a similar share dividend once reverse merger takes place. If you own IVOI shares now then you have hydra shares. Eithier way once you get your dividend your ARSC shares are worthless. I hope you all dont get screwed with restricted shares that you cant sell, and the IVOI/hydra get diluted during the meantime. Thats the question that you need to call and ask. When can you trad'em?

Entry into a Material Definitive Agreement, Financial Statements and Exhibits
ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On March 9, 2011, iVoice, Inc. ("iVoice") entered into an Agreement and Plan of Merger (the "Agreement") with Hydra Fuel Cell Corporation ("Hydra"). Hydra is a wholly owned subsidiary of American Security Resources Corporation.
On November 8, 2011, iVoice and Hydra entered into an Amended and Restated Agreement and Plan of Merger (the "Amended Agreement") that superseded the previously executed Agreement and Plan of Merger. Pursuant to the terms of the Amended Agreement Hydra, will merge into a wholly owned subsidiary of iVoice, iVoice Innovations, Inc.
In exchange for the common stock of Hydra, the sole shareholder of Hydra, American Security Resources Corporation ("ASRC") will receive 1 million shares of iVoice Series A Preferred Stock (the "Preferred Stock") with each share of Preferred Stock convertible into 153.5 shares of iVoice Class A Common Stock. However, the Preferred Stock will have no voting rights. Pursuant to the Amended Agreement, the Preferred Stock will not be delivered to ASRC until the following conditions are met: (i) Delivery by Hydra of the audited financial statements of Hydra for the fiscal year ended December 31, 2010 and certain other conditions set forth on Exhibit C of the Amended Agreement.
On the closing of the transaction as contemplated by the Amended Agreement, the following individuals will be elected as officers and directors of iVoice Innovations, Inc.:

Now you say you are unable to get ahold of him - not the same as saying the phone is disconnected.
I have no reason to think that NBS is lying, why would he? He does not always reach Frank, which he has stated, but when he does, he relates the conversation to the boards.
Of course, the other possibility, is Frank might have him on a lucrative contract to pass such conversations along, but I do not think ARSC has money for that sort of deception - so, I sincerely believe NBS talks with Frank. Frank may be pumping a bit, but I do not think NBS is.

No, they are talking about the dividend of what the value of HYDRA is worth...not ARSC. We are getting what HYDRA is worth.

This is only my opinion. We get 150 ARSC shares for every share of Ivoice we have; and ARSC shareholders gets 1 share of IVOICE for every 150 ARSC . Hydra is a private company and have no shares to distribute. Hydra is merging with IVOICE and the surviving company is IVOICE.
No, it's just that when a stock is dead that people usually run off to play with another company that isn't dead. This one is so dead that nothing is going on with it nor will it, and yet those who say that this company has no potential just stick around to say their peace. Doesn't make much sense to me.
Poof! all the sudden a company with no employees, no equipment and closed up production plant currently valued, according to their own statements, at less than $40,000 becomes worth 10s of millions of dollars with back-orders filled by hardworking magic elves slaving overtime hours to make the promised delivery dates.

I know, but it is the way it is. Don't worry, there will remain LOTS of people that will pay taxes because no one has the will power to change their lives for the better. No offense, but truth be told. To start a HUGE business or HUGE real estate ventures, most people have no guts for it. That's why there are very few Sam Walton's that start up Walmart's across the nation.

Well, taxes are a fact of life. Governments have to be supported, however, they seem to feel like it is a blank check and to keep from "overdrafting" someone gets hit pretty hard to take up the slack. Should not be the elderly who often have nothing but their SS and sometimes a small pension to make it in today's world.
Just being a realist about the tax situation. No one should have to go without the necessities and sometimes the good stuff in order to pay their taxes.
Robert Kiyosaki established the Rich Dad team and authored Rich Dad Poor Dad book. I don't want to pay any taxes. The courts have ruled that your job is to pay the least in taxes and that's why the tax code is written in our favor IF we get into the right quadrant. It IS legally your job to pay the least or no taxes. FACT. The E and S Quadrants are purposely by law to pay the most in taxes.

Of course, it will be real interesting after the elections. If the tea-party gets in office, no worries about the wealthy paying taxes, only the elderly can be concerned. If the democrats get back in, then the tax code might change in the other direction. Robert Kiyosaki. Have you heard of him? Quadrants E, B, S, I. E=Employee, B=Big Business, ie more than 500 employees, S=Small business...mmost people fit into this area like doctors, lawyers and such and STILL pay most in taxes. I=Investor would be real estate. Bs and Is pay the least in taxes and the tax code is structured in such a way that it's established that way purposely. This is why employees & small businesses don't make it very well and remain small.
No, by "realtor" - I would never buy real estate without a realtor - I am a believer! I have 2 friends who decided to sell on their own and got royally screwed, did not know what they were doing until too late. I could at least have given some sage advice. By getting a good realtor on your side, you can get the best properties at the best price - and THEY handle the nightmares of dealing with sellers. And, having been that sort of realtor at one time, I do know the value.
E Quadrant, I Quadrant - OK, tell me what that is.
Forget realtor, I mean leasing out the properties for cash flow. You're thinking about the E Quadrant here: Employee. And employees pay the most in taxes, bud. Get into the I Quandrant: Investor...a LLC. They pay the least in taxes.
ALL your shares will instantly transfer over and whatever the pps is at the time of the transfer, that is how much your shares will be worth. Maybe about $250,000 and this is based upon 25% of your shares that you can sell. This is going to happen so quick we'll have to see what percentage of our shares truly get bought up.
But that will be Hydra, not ARSC. Oh, yeah, if ARSC got to even .05, I'd sell all of it in a heartbeat. Pay the taxes and invest the rest in real estate - that's the way to go. You absolutely have the right idea there! Wish I were still a realtor, I'd be the one raking in those commissions!
When the market first opens, I think there will be a pause in activity and then--POOF! You will see .08 to .16 pps. And that, my friend, is when I sell. Your 20 Mil will then become 20,133,333. And then later possibly R/S.
Still not clear to me how anyone can make any money on ARSC at the present value. If they become no longer, just wondering what happens to the shares that are no longer marketable. I know we all get our divvy if Hydra, just wondering if our 20 million shares of ARSC go "poof". We bought really low, so it would not be a disaster, but would be real nice if they had some value somehow, other than the divvy.
Just wait and see, since no one really has a crystal ball. I do believe something will happen, hopefully soon. Oh, well.
Winkie, I think a LOT of people on here are getting confused about which share structure everyone will be looking at and the truth is I believe you will be better off than you think. This is why I keep repeating that 25% of my shares I believe I'll be able to sell and make a mint off of. We ALL will fall under the new share structure of HYDRA .08 to .16 pps. And that will remain that way until the investors take their profits. The only thing about ARSC that will matter upon transfer--AND ONLY THING--is the 1 to 150 exchange between ARSC & HYDRA. Once this is accomplished, we no longer worry about ARSC ever again. That 1 to 150 exchange ONLY deals with the divvy which we reap from. I have 62 MIl shares right now. Once the divvy is accomplished, this then becomes 62,413,333.
Guess I'm a bit confused. Me and mine own approx 20 million shares of ARSC. Our divvy is approx 133,333 shares of HYDRA. I agree, a lot of shareholders will sell immediately and the value of HYDRA will drop like a rock. I am thinking ARSC is quitting, since no annual or quarterlies have been filed - so what happens to the 20 million shares we have? Do they become worthless or part of a new company - HYDRA??? I do see an rs with ARSC if they remain a company, that's the only way the unit price will come up which is a good thing. The dollar value of the stock will remain the same, but the share price could increase to .10, depending on the rs. Yep, I am confused.
No, by the time everything is transferred over this new company will be trading in the range of .08 to .16 pps. Forget about ARSC...it will be null and void in this arrangement. You will keep your shares and if you meet the qualifications for the ex-divvy date, you will also reap the divvy. Then, later on, a R/S possibly hits HYDRA. This is what Frank told me to the letter. The reason why the R/S is also in the cards is because Frank and Bob both know that the .08 to .16 pps range will not remain knowing that people will take their profits. If this weren't the case, I don't believe a R/S would be needed. The theory on why the R/S is just my opinion.
1 Hydra for each 150 ARSC, BUT the ARSC still remains at .0001, right? Hydra will be .08 - .16, NOT ARSC, but sure wish it were. Me and mine would be in fantastic shape!

Remember the divvy occurs first for our shares from HYDRA then later on the R/S. This is why I'm saying that I'll probably get about 25% back out of my present share position before the R/S. Am I not seeing the light on this Winkie or what?
Tell Stockprez if you would please that Frank told me and others that a R/S would not be ruled out but it would be down the road and not immediately.
