Because no par value will allow YA to convert between $0.0001 and $0.001 per share. NEOM is willing to pay much higher Delaware franchise taxes to allow YA to convert below $0.001.

It may take several months after the 15 for 1 RS is executed for PPS to drop back to $0.001. However, YA clearly doesn't want to be constrained into paying more than retail investors to acquire shares like they are today.
