Ahh. I see where you are going wrong. First, the dividend shares are in addition to the shares you already have, not transferred as you indicated.
There is nothing in the PR that says the Preferred shares can be converted to common shares at face value if the common share price is less than 20 cents.
In the event the price per share is higher than face value of $.20 (twenty cents), the Preferred C Series Stock may be redeemed for 1 (one) share of common stock at the current price per share.
Clearly, the one for one conversion to common only happens if the common share price is greater than 20 cents, not less.
