We know that the Articles of Incorporation exist. They were the first filing made on the Nevada SOS website and you could order a copy today is you wanted one: Action Type: Articles of Incorporation Document Number: 20050099288-53 # of Pages: 1 File Date: 04/01/2005 Effective Date: Initial Stock Value: Par Value Shares: 25 000 000 Value: $ 0.001 No Par Value Shares: 0 ----------------------------------------------------------------- Total Authorized Capital: $ 25 000.00 https://www.nvsilverflume.gov/businessSearch
For starters, as you can see the Articles are only one page long. They undoubtedly have little to offer in the way of information. The detailed processes, rights and obligations stuff is in the By-Laws, which do not appear in the NV filing.
But that's not the point. The point is that BOTH documents are represented by the company to be included in the SEC filings. They are required to be included in some form...incorporated in, linked or attached as an exhibit to the Form 10-SB that was filed with the SEC in November of 2006. Indeed they appear on the exhibit list at the end of that filing: http://www.sec.gov/Archives/edgar/data/1379006/000114420406047712/v057372_10sb.htm See p. 84
I know that I asked this: "I welcome anyone at all to provide a link to NNVC's Articles of Incorporation and By-laws......" I should have added "especially the By-Laws"...that's where one finds the specifics of the processes that I'm looking for. Ideally NNVC itself will just file them with the SEC as they they said that they did, but didn't, in November of 2006.
