The facts: • Goldberg and Poorvin resignation indicates that a major conflict is taking place on the ENTA BoD. • Both were/are the BoD Compensation Committee members. • It is expected that, following a completion of HVC registration trials with ABBV, ENTA will be sold (unless the expected results are a complete failure)
It is quite possible that ENTA acquisition discussions are taking place already and these discussions are not going well.
ENTA—Leaving early may put these two directors in violation of the terms of their prior contract. The whole event is quite unusual and I can't help but feel you are sugarcoating it.
Not sugarcoating anything insofar as I admit I don’t know exactly what’s going on. My explanation (in the bottommost paragraph of #msg-95809197) for why the two outgoing directors are leaving one day early is the best I can come up with; if anyone thinks an alternative explanation is more plausible, they should post it!
I’m less interested in the early departures per se than in understanding why the size of the BoD is shrinking from 7 to 5.
