I am not twisting anything srchn. I can read. All this is saying is preferred has increased to 1 million. The AS is unchanged. This is COMPLETELY obvious in that there was no 14c filed.
The authorized of SVFC is unchanged. I have not twisted ANYTHING today. I have stated over and over from the beginning that the AS has not changed. I have provided clarity. SVFC is ready to launch!! SVFC!!! :)
Lol! Let me clear this up. I see the comma and the conjunction...here is the quote;
"The amount of total authorized capital stock which the Corporation shall have the authority to issue is 1,500,000,000 shares of common stock, each with $0.001 par value, AND 1,000,000 shares of preferred stock, each with $0.01 par value."
So we're talking,
1.5 bil shares of COMMON stock and 1mil shares of PREFERRED stock.
When and if the PREFERRED stock is converted into common stock, each PREFERRED stock shall be convertible into 1,000 shares of the companies common stock (1mil x 1thou=1bil shares). So, the preferred once converted to common shares will be 1 billion common shares-------COMING FROM THE CURRENT 1.5 BILLION AUTHORIZED COMMON SHARES.
As per Srchn41 post; "Authorized stock includes common shares and preferred shares, and the company may hold back some of the total authorized shares, so that it can sell them to make money if needed in the future, without getting a shareholder vote. Knowing the number of authorized shares your company has, as compared to the number of issued shares, would indicate the potential for share dilution." - See more at: http://wiki.fool.com/Authorized_shares#sthash.laJL4ERw.dpuf
As defined above "Authorized stock includes common and preferred shares"
So Lee13, by golly, you are correct in saying that since the preferred can potentially be converted to 1 billion common shares, these 1 billion common shares have to be taken out of the 1.5 billion shares of authorized common stock. Thereby leaving only 500 million common shares, and thereby effectively reducing the dilutive effect of the A/S increase.
This explains why April, from Nevada SOS stated that no one would have said the A/S was 2.5billion, as the filings do not say or imply this---But please call and verify if you wish:)
