#144313 RE: Art Vandeley #144302

I have tried dozens of times to explain it as well, save your breath. I am curious about these things. Thanks in advance.

Looking over the articles of amendment and articles of correction I noticed that the september 7th 2012 filing says from 750 to 975 million but the following reduction goes from 950, and 975 is not mentioned again. Also the july second filing going from 600-750 was never corrected.

Any insight?
The uncomfortable half truth I got before was that because it was never at 600 they didn't have to file a correction, which makes no sense because they corrected the subsequent changes. Thanks

They also need to deal with the reverse

A/S stayed at 950 million and reverse split happened and has not been reversed by that article of correction as evident by the number of O/S has not incresed [SIC] nor has the pps reflected a foward split.

Because they performed a reverse split without shareholder authorization, they'll eventually have to account for the increase in shares after the reverse was rescinded, but they haven't figured out how to do that yet. If they want to uplist, they'll have to.

The AS stayed at what's in the Articles of Incorporation, which is 5B, but the company is too embarrassed to say so.

Why else would they have created the new, fictional classification of Authorized shares Capped by Management?

That is the simple fact that cannot be swept under the carpet:

You don't create a new, never-before-heard-of classification if you don't have something to hide.
