There is obviously some cost (even if fairly minor).
The only rational reason for insisting on this is the insiders at OPTC think that they are or will be overvalued.
Given that, if I had the stock I would cash out now at the market and not roll the dice on the CVR.
OTOH, TSRX seams like it could be a good bet. The CVR can be picked up for 0.30 today. There is about .10 (very aprox) to carry to the settle date late this year. From the structure of the deal I would assume the sales goals (yielding $1 to $2 1/17) are reasonable. Seams like a good bet.
