Pop, my logic is that YA will vote FOR both Proposal #5 and #6 for every single share that YA is entitled to vote.
While YA has beneficial ownership of 10%, I don't know if YA actually owns any common shares or if it will be entitled to about 500 million votes (capped at 10%) by virtue of the Series C Preferred that it owns.
Others have said it is not possible to cast a number of votes that exceeds authorized shares but I suspect they may be wrong.
