Pop, Liben owns 444,444,444 shares of common stock and according to Item 5 of Schedule 13G, Liben has sole voting power over those shares.
The term beneficial ownership under the SEC rules can include options and convertible debentures but in this case it appears that YA transferred a debenture to Liben and on 6/27/13 Liben converted that debenture to common shares that are entitled to vote as of the 7/5/13 record date.
Since Liben converted his debenture to 444 million shares 2 days after the date that NEOM selected to prepare the beneficial ownership table in the proxy, Liben doesn't show up there as a beneficial owner.
