Integral - is MG a wholly-owned sub of SKTO? if yes, there is a way under DGCL to effect a merger between parent and sub without any need for shareholder approval. not easy to do - lots of limitations and conditions (many of which would likely be unappealing to SKTO), but it is possible. your point regarding ownership is well taken - how do these corporate actions just magically happen? (even more of an issue for the "sister" company - where SEC rules require filings by the control shareholder).
Be interesting to see how they handle these issues in the registration statements for the 2 companies, if they're ever filed.
