There are a lot of shady things and failures to disclose material facts when it comes to Drumlummon:

April 2013 — U.S. Silver & Gold announces the closure of the Drumlummon mine, saying it will lay off about 107 employees by June 28.
December 2012 – U.S. Silver & Gold records a net loss of $17.8 million for 2012, compared to a net income of $12.4 million for 2011. The decrease in earnings is attributed primarily to issues at the Drumlummon.
The Drumlummon was never a viable mine. They knew they would never get a permit:
In December 2011, the company filed paperwork with the state seeking an operating permit, which is a step up from the small miner’s exclusion permit under which they were conducting mining activities. After the state responded with a lengthy list of additional questions, the forward movement on the permitting request ground to a halt.
The mine was both a blessing and a boondoggle to Lewis and Clark County and its residents. While many people appreciated the economic boost and good wages paying about $80,000 annually, others said the mine operated with blatant disregard for Marysville residents.
Lawsuits and illegal discharges. A permitting process that ground to a halt. How much of this was disclosed in merger talks and why couldn't their advisors find out these issues I found in an hour of online searches?
Bob Taylor, the chief operating officer, wrote “it is expected that the closing of regular operations will be permanent.”
Notice how they later stated it would go on C&M just to protect the stock price and change the story from permanent closure.
It stinks as bad as all their illegal discharges.
