Ok, so you are not talking about a prepayment of the loan by MIMV now?

so lets see, the Funder is short 3.0 million MIMV shares at an average price of .13 on December 15, 2031. It converts $300,000 of the loan at .10 into 3.0 million MIMV shares and covers the short position, netting .03 per share on those 3.0 million shares.

On December 31, 2013 MIMV pays the balance, or $125,000 of the loan.

Please tell us how the Funder is going to get stuck with shares that it has shorted without being able to cover from the loan conversion as you have been claiming here:

I'm glad you're not my financial advisor. That clause only applies if MIMVI wants to pay off the loan early, notice where it says "prepayment". If they pay on the due date of 12/31/2013 then none of that matters, the company just pays cash and that's that. You need to read the whole thing. Good one!

And you seem to keep forgetting about this part. This means that the lender can purchase another note with the same terms. So it's definitely a benefit to the lender if the share price goes up and they certainly would not want to short the stock and cause the share price to go down. To not understand that is just plain silly

Each Purchaser shall have the right at any time, on or prior to the later of (A) December 31, 2013 and (B) the date on which no Notes remain outstanding, to purchase an additional OID Convertible Note from the Company for up to a principal amount equal to the amount of the Note purchased by such Purchaser hereunder (each an “Additional Note” and collectively the “Additional Notes”) on the same terms and conditions as applicable to the purchase and sale of the Note purchased on the date hereof by such Purchaser (each an “AIR Purchase”). For any Purchaser to exercise such AIR Purchase right, a Purchaser shall deliver a written notice to the Company electing such AIR Purchase, which notice shall specify the principal amount of the Additional Note to be purchased by such Purchaser (“AIR Amount”) and the date on which such purchase and sale shall occur (“AIR Closing”), which Air Closing shall occur within ten (10) days following such notice by such Purchaser.

Bottom line is that the O/S count at year end will be NO MORE than 80 million shares and that's way less than what everyone thought based upon 14 million shares being sold in the first 5 months of the year. TrepLab launch next week and EM is going to publicize the snot out of it. Already many indies have applied and according to Eric Rice, about 10% fit the criteria. Revenue sharing starts upon the commencement of TrepLabs and the entire team is more fired up now than ever. Expect alot of PR's in June.

And, some people are relentless regardless of whether or not they know they`re wrong.

So, good luck if you choose to pursue this likely/unlikely "short" nonsense, because it`s just another diversionary tactic and in the whole scheme of things it`s really quite irrelevant ... no one seems to mention the fact that not even a single warrant or option has been exercised even when the share price reached $.71 after the 9-25-12 Microsoft partnership was announced and nearly 13 million shares were traded in four (4) days through the 28th. Furthermore, not a single share has been sold by management ... seems to me, there must be a pretty good reason for that !!

In my personal opinion, this board could use some real DD as opposed to this inane banter, and heaven knows, I`m more than guilty myself. Perhaps I`m the only one here that believes there is, indeed, not just a Mimvi partnership with Microsoft, but, one in which Mimvi with its core Advanced SRT will play an integral role in helping Microsoft to further develop its search and recommendation capabilities as well as a number of other initiatives. If anyone wanted to take the time and knows how to use Google, I know for a fact they would find not only possibilities of how Mimvi could be involved, but probabilities as well, in my opinion. "Windows 8 and Phone 8 Blue Update" is a reality and "Write Once, Run Anywhere" is, indeed, the Holy Grail for Microsoft as it is essential for the success of all its products and services going forward. Remember Mimvi Search is agnostic as it is capable of running on any operating system and running on any device, regardless of size !! All it takes is some reasonable imagination :)

Believe me, or not, Microsoft is bent on being the biggest player in the mobile ecosystem, and I happen to believe they will ... with the help of Mimvi, of course.

I have already posted many articles which I happen to believe represent reliable sources regarding the possibilities and probabilities [my opinion] on Mimvi`s potential involvement with Microsoft, and I have other revealing articles that I will post as time permits.

One more thing as long as I`m pontificating, everyone here should at least ask themselves these questions ...

Microsoft has known Kasian Franks since his Seeqpod days and knows just what he is capable of, so there must be a pretty good reason they chose Mimvi as a partner ... its experience, knowledge and patented search technology, wouldn`t you think ??

Also, why do you think a startup like Mimvi, with virtually no revenues, continued losses, $3,000 in cash and a deficit net worth, has been able to attract brilliant advisors and strategists as well as all the talented new hires ??
