I also love the flexibility that this statement implies in the 8K.

"1.4 Use of Proceeds . In accordance with the directions of the Board of Directors, as it shall be constituted in accordance with the Voting Agreement, the Company will use the proceeds from the sale of the Shares for investment and other general corporate purposes."

These types of transactions are a solid indication that EWSI is the real deal and not some headline pumping scam OTC company.

That being said, the company has achieved at least 875K in capital since the beginning of the year via Master Franchisee Licensee Agreements that cover the UK, Ireland, and China. This, in concert with the Management Agreement with YaZhou (also generating cash flow) is a nice start to the year.

If you read the CEO Interview Transcript you'll note numerous forward looking items that may actually come to fruition this year. If they do we're off to the races in a big way.

I'm not sure where or why you are coming up with this conversion to .08pps ? Class A Preferred stock has absolutely nothing to do with common shares. This is a completely different share structure to add additional protection to the buyer. If anything should happen to the company or if there is a dividend preferred stock gets their money first, before any other shareholder.

We would have to look back at the company structure, specifically the articles of incorporation to see how many preferred shares there are.

This is a huge investment into the company and a plus for EWSI, there can't be much money left in the coffers prior to this announcement.

Of course, I may have no idea what I'm talking about either.

bucky, what page is this on....I couldn't find it. This is how it will be converted to common shares if and when sold?

This $650,000 is sure a welcome sight. It shows a big investor has confidence in the company and I would hope that relieves us of the chance of having any convertibles in the near future.
