SB-2's are a great tool if use properly.. Unfortunately for the most part when it comes to penny stocks they are abused.. The same with S-8's, 504's, etc.. If use wisely, they can help a company, but when ya see some of these scams putting out 6 billion share S-8's, it gets you sick how they can abuse the system so much and not get slapped by the SEC..
