If there are no buyers, then the note holder can't convert.
If that happens, there will be no more convertible debt.
If that happens, there will be no cash.
If that happens, the company will probably shut down.
So it's between a rock (death of the PPS by executed death spiral) and a hard place (death of the company by unexecuted death spiral).
