I think by far the reasonable objective would have been for Biogen to buy Elan outright but Biogen would have had to repatriate a great of off shore cash at a huge cost.
People only have thought of Elan's terms regarding the change of control clause regarding Ty, but let's not forget that Biogen now is clean to be acquired. I'd be happy with a nice $50B dollar deal.
