I would assume that if the stock has not yet been created, the transfer agent may not be aware yet.

why don't you post what they told you?

i did speak with transfer agent - and they told me (and i cannot confirm this - but why would transfer agent lie), that the company has not contacted the transfer agent yet - re: the spin-off / dividend / new stock / new cusip # / etc.

not saying that the spin-off has not occurred yet - just don't know for sure - because the transfer agent cannot confirm that it has - and no ex-div date has been announced.

finally, for those that figure they can always sue - only people who win lawsuits are the lawyers. plus, this is now a non-reporting otc-bb stock - so pr's are not necessarily mandatory + they have several days to make announcements.

WHAT I AM GETTING AT IS, I BELIEVE THE SPIN-OFF HAS OCCURRED AS OF END OF TRADING LAST FRIDAY, BUT I'LL HOLD MY SHARES UNTIL I AM CERTAIN - SINCE I REALLY WANT THE EUROPEAN STOCK. AND I BELIEVE THAT WHAT'S LEFT IN US COMPANY WILL EVENTUALLY BE WORTH MORE THAN .51 ...
makes no sense to split up company, if half is worthless. could have just moved whole company to european market, if that was the case.

Thank you for posting. I did call them. All they know is what is in the press release. As far as they know nothing was filed with the SEC, the company is still trading under PROT. If you sell your shares, they are gone. That is all they can offer.

SO...now it would appear the company could be facing a nasty class action law suit from all those who sold yesterday, or are selling today, thinking they have locked in the issue of new shares. Obviously the company can't afford that. Yuck. Mgmt sure screwed the pooch on this one. I don't know if the company can survive a law suit. Did anyone ever get to talk to Roger? He is the company lawyer.
