Let me say that I certainly appreciate receiving this message as well as your concern, and would like to take the opportunity to respond.

First, the issues with the accounting firm, Grant Thornton, that acquired our prior accounting firm and who disagreed with the accounting classification and valuation of warrants as described in our attached letter dated 5/18 to shareholders has been satisfactorily resolved at long last. We are working with the SEC to exit the “black out period,” and it is entirely in their hands.

Next, per our recent press releases (attached) a number of positive events occurred which we have announced publicly and are at liberty to disclose. For example, we have opened two new airport units at Salt Lake City International Airport, and last week have opened the first of three Aberdeen Proving Ground military base units for which we were approved with the second under construction and the third to follow. Our menu has been approved by the federal government which, along with the military, has mandated the availability of healthy food on their facilities. We will be opening a UFood Grill in the Transportation Building (FAA) in Washington, D.C. in the near future.

As to “insider buy,” I am not at liberty to comment.

UFood Grill Announces Reorganization

BOSTON--(BUSINESS WIRE)--

UFood Restaurant Group, Inc. and its wholly owned subsidiaries (the "Company") filed a voluntary petition under Chapter 11 of the U.S. Bankruptcy Code in the United States Bankruptcy Court for the District of Massachusetts in order to preserve its operations and to resolve its liquidity issues in the face of the slow recovery from the current economic downturn. Other members of the UFood group (including its affiliates and franchised stores in Massachusetts, Ohio, Texas, Utah and Maryland) have not filed for protection.

The Company's financial troubles stem from a number of factors that prevented the anticipated growth and caused some of the Company's stores to be unprofitable for a significant period of time resulting in the Company's current liquidity problems.

The Company will pursue a plan of reorganization to capitalize on opportunities for future growth and profitability including the evaluation of any underperforming stores, strengthening its brand strategies and the restructuring of its financial obligations along with the strengthening of its balance sheet and capital structure.

The Company has obtained a financing facility that is likely to be sufficient to support it during the chapter 11 process and the Company's restructuring plan has the support of its lenders.

Day to day operations and business will continue throughout the country as the Company continues to provide its customers with the highest quality and healthiest food at the most reasonable price.

The Chapter 11 process will provide the Company with the opportunity to restructure its finances and execute on its business model to provide sustainable profits and long-term growth.
