If the SEC told the CEO that no further action would be taken, then he would be able to get a "No-Action Letter." So far, there is no such letter for KMAG. No one should rely on his informal statements to believe this is fact absent a No-Action Letter

It happened to emge peggy, i believe that third-party promoter was involved and possibly charged, I don't remember but information is out there.
