Correct. A new registration statement with the SEC must be filed. And that will include the full SEC review process, which is typically much more rigorous for Companies that have previously filed a Form 15.
The SEC is very interested in knowing everything that went on while they were "dark" after they filed the Form 15, because legitimate operating companies report. They don't go dark.
