You use Investopedia as your source and not the SEC? Hard to believe no one can grasp this simple concept.

What does it say at the top? "GENERAL FORM FOR REGISTRATION OF SECURITIES Pursuant to Section 12(b) or (g) of The Securities Exchange Act of 1934"

A Form 10 is a registration statement. If a Company files a Form 10, the are registering shares under the Securities Exchange Act of 1934. This is a simple concept, and a fact.

But hey, if you want to believe Investopedia, here is their definition of a Form 10:

A filing with the Securities and Exchange Commission (SEC), also known as the General Form for Registration of Securities. It is used to register a variety of securities for trading on U.S. exchanges.
