So, fair question:

Is it really a scam if they tell you what they're going to do, put it to a vote, it gets approved by shareholders, and they're all told what's going on in statements?

I'm surprised by your willingness to say it's illegal. It sucks, yeah, but shareholders are apparently signing off on it.
