ASYI IS NOT A SHELL - from the same document that you provided and right on top: Public Shell or Shell = a Public company with no business, assets or (known) liabilities, but with enough shareholders to qualify as a Public Company or quasi Public Company
ASYI is loaded with liabilities - see 10Q

clean unbroken history of audits? NOPE!
Look at the last 10Q. It was NOT audited. Are you interested in doing a little DD to find out when (if ever) ASYI had an AUDITED SEC filing?

history of audits therefore, ASYI can NOT qualify
I looked through the quarterly reports to the SEC. I do not see even ONE audited report!

Audit Fees
The aggregate fees billed by our independent auditors, Meyers Norris Penny LLP and Michael T. Studer CPA P.C. respectively for professional services rendered for the audit of our annual financial statements included for the years ended December 31, 2010 and 2011 were $45,000 and $35,000, respectively.[/img]

Because both annual audits were confirmed on May 18 2012, the history of audits is NOT unbroken -- ASYI has had only ONE audit of its financials.
Again, there is no unbroken history of financial audits!
