Sounds like extortion on Wallace's end:

Plaintiff demanded unreasonable compensation in the form of money and shares of stock in GeckoSystems as consideration for the services rendered to GeckoSystems' predecessor. Plaintiff threatened to retaliate against the individual Defendants, GeckoSystems, and a GeckoSystems officer and shareholder, if his demands were not met.
