Actually, Sly, "they" could achieve the same thing with only majority control (50% + 1) of the voting stock (and maybe even less, through effective proxy acquiescence).

for your own info, if you own a big enough block of stock you do have control over the day to day functioning through control of the board and the top management. it works like this:

say you own 13%, you get together with other guys whose total adds up to greater than 50% of the stock, then you vote as a group and make deals as to how the company is run.
