Its not the LOI, it is in general. Just google merger and acquisition failures. You get mixed results. Some look at the percentage that fail after the acquisition which is somewhere between 70%-90%. Others look at the actual failure of the acquisition/merger itself, which is about the same. Read this article:

Not being negative, just answering a question on the board.
Obviously if the MSE acquisition goes through we will get a very nice run. IMO
