With all due respect, I have no idea what you're talking about with most of what you say:

Sounds like if this happens, they just want to drive the shares down so can release their preferred stock and flood the market making it so we can't sell.

Why would they want to "drive the shares down"? How would that benefit them?
"so can release their preferred stock and flood the market making it so we can't sell"... They can release the preferred shares now if they want. A lower share price hurts them more than us because they have more shares. Why would they think it's beneficial for us not to be able to sell?

I would also like to point out, a r/s will also give them fewer shares.

I'm sorry, but most of what you say is not very rational.
