As we've discussed before, your claim that Diante "is running the company" is wildly wrong. I assume you've read the PRs?
Rox only claims that Diante is the PRESIDENT of a SUBSIDIARY. Nowhere does she claim he's involved in running MPIX.
Mindpix subsidiary, eMax Media Inc., recently announced the appointment of Denny Diante as its President. He will oversee the corporate activities of eMax Media and its music divisions.
She can't even keep track of which BS story she's telling on a two page press release.... on the second page she calls him "CEO" of EmaxMedia. She never once claims he has anything to do with MPIX itself.
She can't seem to learn the basic rule of BS - pick one lie, and stick to it.
You'll notice that all the recent bad news PRs are issued in the name of Armando Almirall, president of MPIX. The MPIX website still shows Rox as CEO. That release announcing her "resignation" was filed with OTCIQ but not released to any PR outlets. Unless you had the link, or went looking for it on the MPIX website, you wouldn't know it existed.
Like everything else coming out of MPIX, it's probably a lie.
If you examine the letter the SEC sent Rox back in June of 2011 - almost a YEAR ago - it's obvious the supposed "merger" of Emax Media into MPIX is deader than disco.
We further note the outstanding comments from our letter dated June 30, 2011 regarding your Form 8-K filed on June 23, 2011. We re-issue the following comments, as we have not received a response as of the date of this letter...
1. The Form 8-K dated June 22, 2011 indicates that Mindpix Corp. “will issue 400,000,000 shares…in exchange for all the common stock in eMax Media, Inc.” and that “the eMax Worldwide, Inc. (“EMXC”), shareholders are entitled to receive one share of common stock dividends in Mindpix Corp. for every 32 shares of common stock that is owned in EMXC.” This transaction appears to be a spin-off of Mindpix Corp., and you appear to be acting as an underwriter in the issuance of the 400 million Mindpix shares to the shareholders of eMax Worldwide, Inc. Please advise us as to why you believe registration under the Securities Act of 1933 is not required.
2. It appears that the recipients of Mindpix Corp.’s shares would act as underwriters in resales of those shares, requiring registration under the Securities Act of 1933 for such resales, absent an available exemption. Please confirm that you will register such resales or provide an analysis of any exemption from registration that you believe is available
And how are these people going to be paid? They will be given shares that will be sold on the market and driving the price down. That is even if Diante has something to market. And again! IMO! From what I am reading, the shell will be cancelled and Diante will have nothing. But MPIX has nothing anyway.
