NTN Buzztime, Inc. Announces Final Results of Rights Offering:

CARLSBAD, Calif., Feb. 28, 2012 /PRNewswire via COMTEX/ -- NTN Buzztime, Inc. (NTN, Trade ) today announced the final results of its rights offering. A total of 2,070,450 shares of common stock are being issued pursuant to the rights offering. In addition, under and in accordance with the terms of the investment agreement the Company entered into with Matador Capital Partners, L.P., Matador purchased 8,000,000 shares of the Company's common stock not subscribed for and purchased by holders upon exercise of their subscription rights. The Company received gross proceeds of $2.5 million from the rights offering and under the investment agreement.

A total of 70,997,634 shares of common stock will be outstanding once all new shares have been delivered.

Form 10-Q for NTN BUZZTIME INC:

We generated a net loss of $837,000 for the three months ended September 30, 2011 compared to net income of $124,000 for the three months ended September 30, 2010

Nine months ended September 30, 2011 compared to the nine months ended September 30, 2010
We generated a net loss of $2,380,000 for the nine months ended September 30, 2011 compared to net loss of $722,000 for the nine months ended September 30, 2010

Revenue decreased $1,201,000, or 6%, to $17,766,000 for the nine months ended September 30, 2011 from $18,967,000 for the nine months ended September 30, 2010 due primarily to a decrease in subscription revenue related to lower site count and lower average revenue generated per site, as well as decreased advertising and other miscellaneous revenues of $254,000.
